The Applicant has been appointed as the security agency by the Official Liquidator for safeguarding the property of the company under liquidation.

Mr. Pimple, learned Counsel for the Applicant submits that as far as prayer clause (b), whereby the Applicant is seeking release of payment as against the bill/invoices dated 4^th July 2023 for an amount of Rs.50,94,567/-, is concerned, the same is not being pressed as the Applicant have settled with the Contributories, i.e. Respondent Nos. 2 and 3. It is submitted that Respondent Nos. 2 and 3 have agreed to contribute the necessary funds to the Official Liquidator towards payment of the bills/invoices raised by the Applicant for the period from June 2023 till July 2025.

Mr. Khandeparkear, learned counsel appearing for Respondent Nos. 2 and 3, Contributories states that Respondent Nos. 2 and 3 have deposited a sum of Rs.1,11,45,389/- with the Official Liquidator towards payment of the bills/invoices raised by the Applicant.

Mr. Pimple, learned Counsel appearing for the Applicant and Mr. Khandeparkar, learned counsel appearing for Respondent Nos. 2 and 3 Contributories, tenders the Consent Terms/Minutes of Order signed by the authorized representative of the Applicant as also Respondent Nos. 2 and 3.

Admittedly, the Applicant has been engaged to provide security services in respect of the property in the possession of the Official Liquidator. The property is huge property admeasuring approximately 25,000 square yards situated at Mahalaxmi, Mumbai. The Contributories have deposited with the Official Liquidator the requisite amount. In these circumstances, there is no impediment in taking the Consent Terms/Minutes of Order on record. Various statements contained in the Consent Terms/Minutes of Order are accepted as undertakings given to this Court by the concerned parties.
