Section 9, Arbitration and Conciliation Act, 1996 — interim measures against a non-signatory/third-party bank to preserve subject matter of arbitration. Borrowers holding CC and OD facilities from Axis Bank, secured by mortgage of a Delhi property (title deeds with Axis Bank), obtained a take-over loan of Rs.4.70 crores from the Petitioner housing finance company; the Petitioner directly paid Rs.17,05,144 (CC) and Rs.96,25,003 (OD) to Axis Bank, but a time-gap between the foreclosure letters (28.08.2023) and disbursal (13.09.2023) left Rs.2,36,963.29 outstanding in the OD account. The borrowers procured only a 'debit freeze', later lifted it (26.02.2024) and kept drawing, leaving Rs.77,00,066.18 due to Axis Bank (as on 24.07.2025), which then refused to release the title deeds. HELD: (i) Axis Bank had clear knowledge of the loan take-over — the foreclosure letters, direct payments and the debit-freeze endorsement showed the freeze was sought pending closure, not an ordinary suspension — and its officials prima facie acted hand-in-gloves with the borrowers; its conduct was neither prudent nor bona fide, so a prima facie case was made out for taking away the title deeds; (ii) interim measures under Section 9 lie even against a third party to preserve the arbitral subject matter; applying the party/third-party distinction in Gatx India (Del HC), this case falls in the acceptable 'former category' (relief against a party incidentally affecting a third party), refusal causing irreparable loss and Axis Bank suffering none (it retains its mortgage claim to sale proceeds); (iii) title deeds to remain deposited with the Court Registry during arbitral proceedings, release per outcome; arbitrability between Petitioner and Axis Bank, secured-creditor status and Section 11 SARFAESI applicability expressly left open; ICICI Bank v. SIDCO Leathers, Asset Reconstruction v. Union of India and Bank of India v. Sri Nangli Rice Mills referred but not discussed. Petition allowed and disposed of (Sandeep V.
