eners/ generatlng companies as well as their consumers. W.P.No.8252 of 2008 has been filed by the Distribution Companies in u,hich validity of Electricity (Removal of Difficulties) Second Order, 2005 (hereinafter referred to as "Order, 2005") is under challenge has been assailed.

In compliancc of the order dated 25.04.2013 passed by the Supreme Court in Civil Appeal No.4195 of 2O 13 and batch, this batch ol petitions have been heard aralogously and is being decidcd by this common order. For the facility of reference, facts of W.P.No.13138 of 2006 are being referred to

The pctitioner No.1 in W.P.No.13138 of 2O06 is a non conventional energr generating company, whereas other petitioners are its consumers. G.O.Ms.No.93, dated 18. 1 1. 1997 and G.O.Ms.No.1 12, dated 22.12. i99g u.ere issued by thc Statc Government to promote the generation ol electricit_v frorn rener,r'able sources of ener$/. The aloresaid Government Orclers permits sale of electricity on payment of w'heeling charges ltv generating companies to its consumers. ln pursuzrncc of G.O.Ms.No.93, dated 18.11.1997 and

G.O.Ms.No.112, dated 22.12.1998, several small power generation projects based on mini-hydel, biomass and other rener.r,able sources were established. Petitioner No. I entered into an agreement on 26.O5.1999 n,ith the erstwhile AHRANSCO under which the petitioner No. 1 was entitled to supply electricity to its scheduled consumers on pal.ment of u'heeling charges.

The Electricity Act, 20O3 (hereinafter relerred to as^,,the 2003 Act") is an Act to consolidate the larv relating ro generation, transmission, distribution and trading and use of electricity and inter alia to tak,-, measures conduci.re to rhe development of electricit5r industry.

Section IB5 of the Act, 2003 deals rvith repeal and saving. The agreement executed by petitioner No. 1 u,ith the erstu,hile APTRANSCO was saved under the provisions of Section 185 of the Act, 2003 under which peritioner No. t had right to supply the electricity on pa,menr of s-heeling charges.

Section 2(471 of the 2Oo3 Act defines the expression "Open access" as:

"open access" means thc non-discriminatory provision for the use of transmission hnes or distribution system or associated facilities with such lines or svstem by aly licensee or consumer or a person engaged in generation in accordance with the regulations specihcd b1, the Appropriate Commission."

B. Part-VI of the Act, 2OO3 deals u,'ith Distribution of Electricity. Section 42 of the 2003 Act provides for duties ol distribution, licensees and open access. Proviso to Section a2Ql of the 2OO3 Act provides that an open access shall be allowed on payment of a surcharge in addition to the charges for wheeling as may be detennined by the Slate Commission Proviso to Section a2Q\ of the 2003 Act is extracted belorv for the facility of reference:

Nou,, ihercfore, the Central Government in exercise o[ its poner confcrred by section 183 of the Act, hereby makes this ordcr to ntake provisions in respect of such clectricity being sold or supplied under the repealed laws, being not inconslstent with the provisions of the Act, to removc the difficulties, namely:-

A demand notice dated O 1.06.2006 was issued to the petitioners demar-rding cross-subsidy surcharge. The petitioners thereupon challenged the said demand notice in a batch of writ petitions. A Division Bench of this Court by a common order dated 24.O7.2OO7 passed in W.P.No. 12367 of 2OO6 and batch inter alia held that the impugned demand notice is conLran' to Order, 2OO5 and the same cannot^be sustained in the er.e of law. Accordingly, the^impugned demand notice '"r'as quashed. However, liberty was^reserved to the distribution companies to challenge the validity of^the Order, 2OO5 by availing of the appropriate^remedy.

The aforesaid order^passed by the Division^Benchu'as assailed b1, the distribution companies^before the^Supreme Court in Civil Appeal No.4195 of^{2013 and batch.The} Supreme Court inter alia noticed that^{thedistribution} companies have filed^W.P.No.8252 of^{2OO8in whichvalidity} oi Order, 2005^has been challenged.^{The Supreme Court} therelore hcld^{that u'ith} a^view to facilitate^{a comprehensive} determinatrort ol^{thc issue raised} before^{the Court, the matter} deserves to^{be retrittcdto- the Courtto enable this Court to}

decide the batch of writ petitions afresh along with W.P.No.B252 of 2OO8. Accordingly, the Civil Appeals were allowed and the matter was remitted to this Court for fresh disposal in accordance with law along with W.p.No.B2S2 of 2OO8. ln the aforesaid factual background, this batch of writ petitions arises for our consideration.

Learned counsel for the petitioners submitted that por.r'er under Section 183 of the Act, 2003 is limited to removal of difficulties and the same cannot be used to grant exemption from payment of surcharge. It is further submitted that exemption, if any, has to t;e granted after consumptron of electricity. It is also contended that as required under Section l83(2) of the 2003 Act, Order, 20O5 has not becn laid before each House of parliament.

Or-r the other hand, learned Additional Solicitor General of India has submitted that the Order, 2005 u.as placed belore the Ra.1-l,a Sabha on 03.0g.2005, r.,,,hereas thc same rtas placed before the Lok Sabha on 05.0g.2005. It is further submitted that Order,2OOS in fact does not granr exemption but has been issued with the sole object ro remove thc

difficulty caused in implementation of provisions ol 2003 Act in the light of Section a2Ql and Section 185 ol the 2003 Act. In support of aforesaid submissions, reliance has been placed on decision of the Supreme Court in Madeva Upendra Sinai vs. Union of Indiar and a division Bench decision of Gujarat High Court in Torrent Power AEC Limited vs. Gayatri Intermediates Private Limitedz.

Learned Senior Counsel for the impleading applicants has supported the submissions made b1' Ieart-red Additiona-1 Solicitor General of India and has submitted that rn order^to save rights accrued to the^;,npleading applicants under^the agreement executed with the erstwhile APIRANSCO andⁱⁿ the teeth of Section a2Q\ of the 2003 Act, Order, 2005^rvas enacted. It is contended that Order,^{20O5 is s'ell r.r'ithinscope} and ambit of Section 183 of the 2003 Act. It is also^urged that the requirement with regard to^{laf ing} of a^subordinate legislation before the legislature is con[radictory.^{In support} of the aforesaid submission,^{reliancehas been placedon the} decision of the Supreme^{Court inM/s.AtlasCycle}

We have considered the submissions and have perused the record.

We have considered the submission made on Section 183 of the 2OO3 Act. Section IB3 ot the 2OO3 Act deals with power to remove difficulties. Section I 83 of the 2003 Act reads as under:

Thus, the aforesaid provision empo.t'ers the Central Government to make an order consistent with the^provisions of the 2OO3 Act as it may appear to be necessa-ry for^removal of the difficulty. Section 183(2) of the 2003 Act^mandates that every order made under Section 183(1) of the 2003^Act has to be laid before each House of Parliament.

A Seven-Judge Bench^o I Supreme Court in Straw Products Ltd. v. ITOs has held that u,hat is or what is not^a difficulty depends on the subjective satisfaction of the Government. The formation of such a satisfaction^isa condition precedent lor c'":cise of^pou'er to remove^the difficulty. However, thcle has lo be a^{reasonable basis for the} Government to have come lo a conclusion that a difficulty edsts. (See Maharana Mills^{(Priavate) Limitedv. Income} Tax Tribunalo)

Thus. the object of the provision empowering the Governmen t to tssue order for removal of difficulty is to lnvest the pou,er in the Executive to make minor adaptations and peripheral adjustments rn the statute for making the provrslons of thc statute rTtore effective.

In the backdrop of aforesaid well_settled legal proposltiorl. facts of the case in hand may be seen. Admittedi,.. r,ron cortr.en Lional enerry generating company

under an agreement executed with erstwhile APTRANSCO had power to supply electricity to its consumers on payment of wheeling charges. The aforesaid agreements were saved under Section l85 of the 2003 Act. However, Section a2(21 of the 2003 Act provided that in addition a surcharge can also be levied. Thcrefore, surcharge can also be levied. The Central Government noticed that in respect of the electricity u,hich u,as been sold and supplied under permissions from the competent Government, there was no element of cross subsidy and therefore, there was no need of lerying aly surcharge for thc same. The Central Government further noticed the difficultl, ha';ing arisen with regard to applicability of provisions of Section a2Ql of the 2003 Act with regard to ler'1.' o[ surcharge on the sale of electricity by a generating compan)'. Therefore, the powers under Section 183 of the Act n'ere invoked and the Order, 2005 was enacted. The subjective satisfaction was arrived at on a reasonable basis to come to the conclusion that a difficulty has arisen and thercfore, the power under Section 183 of the 2003 Act^{\ /as} resorred to. Therefore, there is sufficient

justification for invocation of powers under Section 183 of the 2003 Act for removai of the difficultv.

So far as the contention that Order, 2OO5 vgas not iaid before the Parliament is concerned, suffice it to say that the sarne \/as placed before the Rajya Sabha on O3.08.2005 and before the Lok Sabha on OS.O8.2OO5. Therefore, the contention that provisions of Section 183(2) of ihe 2003 Act have been violated has no substance. The requirement of 1a_f ing dou,n as contained in Section i83(2) of the 2003 Act has been complied with. Therefcre, it is not necessary lor us to examine whether the aJoresa:d requirement is dircctlv in nature

For the aforementioned reasons, the challenge to the Order, 20O5 fails. We have upheld the validity of the Order, 2005. The demands raised from the consumers of tl-re non_ conventional ener$/ generating companies on account of cross subsidy charges have admittedly been madc in violarion of Order, 2005. The same, therefore, cannot be sustained in the er c o[ las' and the same are contrary to the Order, 2O0S. Accorclrngi_r', the demand notices ciated 01.06.2006,
