This Writ Petition has been filed for a direction, (a) directing the

respondents 1 to 5 to take necessary action as against the 8 th respondent for instituting a false complaint before the 7 th respondent by blackmailing the petitioner/company by imposing lien over the petitioner’s bank account and its vendors’ bank account.

2. Heard the learned counsel appearing on either side and perused the materials available on record.

3. The Petitioner/Company is an exporter of Indian rice varieties and doing business since in the year 2022. While being so, the 8 th respondent herein, who is a Trader of rice products in Tamil Nadu approached the Petitioner/Company seeking supply of 22 tonnes of Steam Basmati Rice – Regular and 3 tonnes of Pesticide Free Steam Basmati Rice as well as 750 units of Non-Woven Pillow Bags of 35 kilograms capacity and as such, since the requirements for the above said order could be fulfilled by the petitioner. The petitioner accepted the order and issued a Proforma Invoice dated 10.01.2026 for a sum of Rs.19,44,225/-. It was generated by the petitioner on terms and conditions. Accordingly, they also entered into an agreement and the said contract is commercial transaction subject to the provisions of the Indian Contract Act, 1872. If there is any dispute arise due

to failure of perform the duties imposed upon either of the parties, shall be subject to the provisions of the Commercial Courts Act, 2015.

4. Upon the order placed by the 8 th respondent, the petitioner proceeded to procure the rice products to be delivered to the 8 th respondent from various third parties. The 8 th respondent also made payment to the tune of Rs.11,00,000/- out of total consideration of Rs.19,44,225/-. Accordingly, the petitioner prepared the goods for dispatch on 26.01.2026 and issued a Tax Invoice. The vehicle number of the truck that shall be carrying the goods of the 8 th respondent and asked for balance consideration.

5. While being so, the 8 th respondent lodged a complaint, as if after receipt of the amount, the petitioner failed to fulfill the condition. The said complaint was lodged before the 7 th respondent and the same was forwarded to the 5 th respondent for enquiry. In pursuant to the receipt of the said complaint, the 8 th respondent was issued with C.S.R.No.402 of 2026. In pursuant to the C.S.R.No.402 of 2026, the petitioner’s bank account and its vendors’ bank account maintained with different banks were instructed to freeze. 6. Therefore, the petitioner and its vendors could not able to operate their account. This Court by an order dated 23.03.2026, the petitioner was directed to execute a bank guarantee to the equivalent amount, to which prohibitory directions given by the Investigating Agency to operate its account without any obstruction. Accordingly, the petitioner had also executed bank guarantee to the tune of disputed amount. Even then, the petitioner is not permitted to operate his account so far.

7. In the meanwhile, the 5 th respondent conducted enquiry on the

complaint lodged by the petitioner and the same was closed as civil dispute 6/10

as early as on 31.03.2026. On perusal of the complaint, it is revealed that all the allegations are pertaining to commercial transaction between the petitioner and 8 th respondent. Therefore, the 5 th respondent rightly closed the complaint as civil dispute between the petitioner and the 8 th respondent in respect of the commercial transaction. Therefore, the petitioner now filed the complaint as against the 8 th respondent for taking appropriate action for giving false complaint with regards to commercial transaction between them.

8. Though the 8 th respondent lodged complaint and the same was forwarded to the 5 th respondent, the 8 th respondent was issued only with C.S.R.No.402 of 2026 and no FIR has been registered as against the petitioner. After due enquiry, the 5 th respondent rightly closed the complaint between them as all the allegations are civil in nature. Therefore, the complaint lodged by the petitioner cannot be considered and the writ petition is devoid of merits and the same is liable to be dismissed.

9. Accordingly, the Writ Petition (Criminal) is dismissed. In view of the closure of the complaint lodged by the 8 th respondent in C.S.R.No.402 of 2026, the bank guarantee executed by the petitioner in favour of the

4th respondent is hereby withdrawn and whatever the lien marked over the petitioner’s account and its vendors’ accounts in all the above said banks are hereby cancelled. Therefore, the petitioner/company and its vendors are permitted to operate their accounts. The petitioner/company is also permitted to take back its bank guarantee executed in favour of the 4th respondent. The 4 th respondent is directed to return bank guarantee executed by the petitioner/company for the disputed amount, forthwith. No costs. Consequently, the connected miscellaneous petitions are closed.
