This appeal is against the decision in a petition filed under Section 25 of the Travancore-Cochin Literary, Scientific and Charitable Societies Registration Act, 1955, hereinafter referred to as 'the Act' for short. The petitioners are the appellants.

The first respondent, hereinafter referred to as 'the Society' for short, is a society registered under the Act. Petitioners, 182 in number, are the members of the society. There are 800 members in the society. It is stated in the petition that the society owns a few properties and is running a few institutions. It is also stated by the petitioners that the society is earning more than Rs.4,00,000/- a month from its properties. The grievance highlighted in the petition concerns the shortcomings in the bye-laws of the Society with regard

to the administration of the Society. It is alleged by the petitioners that though the bye-laws provide for election to the working committee of the society from year to year, elections are not being conducted to the working committee of the Society on account of a provision in the bye-laws itself which enables the working committee of Sakha No.163 of S.N.D.P.Yogam to act as the working committee of the society. According to the petitioners, the said provision in the bye-laws of the society deprives the members of the society their right to elect the working committee of the society. It is also alleged by the petitioners that the bye-laws confers authority on the working committee to co-opt members in the working committee in the event of vacancies. According to the petitioners, the said power conferred on the working committee defeats the right of the members to elect the working committee of the society. It is further alleged by the petitioners that the bye-laws confers authority on the working committee to initiate disciplinary action against the members of the working committee. According to the

petitioners, the said power enables the majority of the working committee to remove the members in the working committee who are opposing their conduct in a democratic way. It is further alleged by the petitioners that there is no provision in the bye laws to enable the members of the Society to request the office bearers of the society to convene the general body meeting of the society, in the event of an urgency. The petitioners have also highlighted in the petition their grievance concerning the inadequacy of the quorum fixed for the annual general body meetings and emergent general body meetings of the society. The petitioners have further highlighted in the petition their grievance concerning the provisions in the bye-laws which are contrary to the provisions contained in the Act. In addition to the grievances highlighted concerning the provisions contained in the bye-laws, the petitioners have also raised allegations of maladministration against the present working committee of the Society. On the said allegations, the petitioners claimed orders for framing of a scheme for the

administration of the society; to remove the existing working committee of the society from office and to appoint a new working committee in its place.

The respondents though served with notice of the proceedings, the impugned order indicates that the respondents have not filed objections to the petition within the time stipulated.

The 74^th petitioner gave evidence on behalf of the petitioners and Exts.A1 to A8 were marked. No evidence was let in on the side of the respondents.

The trial court did not accept the case of the petitioners that there is need to frame a scheme for the administration of the society. The trial court also did not accept the case of the petitioners that the present working committee of the society needs to be removed. Consequently, the trial court dismissed the petition. The petitioners are aggrieved by the decision of the trial court.

Having heard the learned counsel for the parties

on either side, I am of the view that there is substance in some of the contentions raised by the appellants. Ext.A1 is the bye-laws of the society. Clause 8 of the bye-laws provides that the society shall be administered by a working committee including the President, Vice President, Secretary and Devaswom Manager elected by the members of the society. Clause 9 of the bye laws deals with the election. Clause 9 categorically provides that there shall be an election to the working committee in the annual general body meeting of the society. Clause 9 thus confers on the members of the society a right to elect the working committee of the society. But, it is seen that Clause 20 of the bye-laws authorises the working committee of the S.N.D.P. Sakha No.163 to function as the working committee of the Society. The allegation of the petitioners is that in the light of the provision contained in clause 20 of the bye-laws, election was not conducted at all in the society and respondents 2 to 12 who are the members of the working committee of the

S.N.D.P. Sakha Yogam referred to above are in administration of the society. According to me, Clause 20 of the bye-laws of the society which confers the power of administration of the society on the working committee elected by another body is in conflict with the provisions in clauses 8 and 9 of the bye-laws and against the scheme of the Act. The scheme of the Act, according to me, is that the society shall be managed by a body elected by its members on democratic lines. As such, the provision contained in clause 20 of the bye-laws of the society conferring power of administration on the working committee of S.N.D.P. Sakha Yogam No.163 is liable to be deleted from the bye-laws of the Society.

Clause 10 of the bye-laws deals with the powers of the working committee of the society. Clause 10(f) provides that in the case of a vacancy in the working committee, the working committee is entitled to co-opt a member of the society as a member of the working committee. This clause also, according to me, is against the scheme of the Act and the bye laws of the society. As

noticed above, the scheme of the Act and the bye laws of the society is that the members of the working committee of the society shall be elected by the members of the society. If the members of the working committee are given authority to co-opt the members of the society to the working committee, the same will take away the right conferred on the ordinary members of the society to elect their representatives in the working committee of the society. As such, according to me, the power conferred on the working committee to co-opt its members in case of vacancy is also liable to be deleted.

Clause 10(g) of the bye-laws of the society confers authority on the working committee to take disciplinary action against the members of the working committee. In other words, if the majority of the working committee decides, one among them can be removed in furtherance to a disciplinary proceedings. This clause also, according to me, would affect the functioning of the society in a democratic manner, for, the members who do not have the support of the majority

may not be in a position to express their opinion as regards the administration of the society, without the fear of removal. The power conferred on the working committee to take disciplinary action against the members of the working committee also according to me, deserves to be deleted.

Going by the scheme of the Act, the administration of the society is to be carried out by the members of the society themselves and the elected representatives of the members in the working committee are only their representatives. As such, if the members do not have any right to call for a general body meeting, it will certainly affect the proper functioning of the society, for, once the working committee is elected, the members of the society will be at their mercy to convene a meeting of the general body of the society, in the event of an urgent requirement. In the said circumstances, I am of the view that there should be a provision in the bye laws to enable a definite number of members to request the working committee to convene the general body

meeting of the society and a provision providing for the consequent course of action to be adopted by the members, if the request for convening the general body has not been acceded to.

As noticed above, there are 800 members in the society. But, it is seen that the quorum fixed for the annual general body and the emergent general body meetings is only 50. According to me, the said quorum is also liable to be revised to ensure a better participation of the members of the society in such meetings where important decisions concerning the affairs of the society are taken.

Clause 21 of the bye laws provides that in case the provisions of the bye laws needs to be amended, it shall be done only by a general body meeting with the support of 3/4^th of its members. Clause 18(c) however provides that special meeting in the nature of one provided under clause 21 shall be in accordance with Section 18 of the Act. Section 18 of the Act provides that if a meeting is convened for altering the purpose of the

society or to amalgamate the same with other society, such decision shall be taken only in a meeting with the support of 3/5^th of the members of the society. Therefore, apparently, there is some conflict/ambiguity between the provisions contained in Section 18(c) and clause 21 of the bye laws. This conflict also needs to be reconciled by appropriate amendments in the bye laws of the society.

As I have found that the working committee which is in administration of the society at present is not a committee elected in accordance with the provisions of the bye laws, the said committee has to be removed from its office. I have also found that some of the provisions in the bye laws of the society are to be amended. At the same time, it is to be ensured that there is no vacuum in the administration of the society until the amendments are carried out. In the said circumstances, the appeal is disposed of as follows:
