Heard the learned Advocates for the parties and by consent, the following order is passed :

(i) The disputes in the above Company Petition and in

Suit Nos.930 of 2013 and 2466 of 2012 are referred to the sole arbitration of Dr. B.B.Saraf, Advocate. The parties and their Advocates shall meet the learned Arbitrator on 5^th July, 2014 at 12.00 noon at his

Chambers and obtain preliminary directions in the matter.

(ii) Mr. Liyakat Ali Khan, Chairman and Managing Director

of the Respondent Company who is present in Court, undertakes that the Commercial premises of the Company admeasuring 859 sq.ft. situated at 401, Sanskriti Park, Mahakali Caves Road, Andheri (E), Mumbai – 400 093 (the said Premises), is not encumbered in any manner whatsoever in favour of any third party and further undertakes that pending the arbitration proceedings, passing of Award and for a period of three months thereafter, the Company shall not alienate, encumber, part with possession and/or create third party rights in respect of the said premises. The undertakings are accepted.

(iii) The complaint filed by the Petitioner against the

Respondent Company and its Directors under Section 138 of the Negotiable Instruments Act, shall by consent, be adjourned from time to time until passing of an award by the learned Arbitrator and for a period of three months thereafter.

(iv) The learned Arbitrator shall endeavour to pass his Award within a period of six months from the date of this order.

(v) The Cost of arbitration shall be borne by the parties

equally.

(vi) All contentions of the parties are kept open.
