This application is filed requesting this Court to dispense with the convening of the meeting of the shareholders of the applicant company – M/s.Nucon Marketing and Services Private Limited (the transferee company).

A perusal of the Balance Sheet of the said company, as at 31.03.2011, shows that its paid up capital as on that date was Rs.1,00,000/- divided into 10,000 equity shares of Rs.10/- each. These 10,000 shares are held by four shareholders, the break up of which is as follows:

All the four shareholders, holding the entire paid up capital of the applicant company, have given their letters of consent to the proposed scheme of Arrangement and Amalgamation. As such, the requirement of the holding of the meeting of such shareholders is wholly unnecessary. The requirement of holding of a meeting of the shareholders of the applicant company is, therefore, dispensed with. C.A. No.528 of 2012 is, accordingly, disposed of.
