COMMON ORDER :
By common order dated 29.01.2011 this Court directed to hold the meetings of the shareholders as well as the secured creditors of the Transferor and Transferee Companies and appointed Smt. K.Annapurna Reddy, Advocate, as the Chairperson for the said purpose.
Having held the meetings on 05.03.2011 in terms of the said order, the Chairperson submitted her reports dated 14.03.2011. In the report relating the meeting of equity shareholders, it is sated that the resolution was passed unanimously approving the proposed scheme of amalgamation.
So far as the meeting of the secured creditors is concerned, it is stated in the report filed by the Chairperson that since there was no quorum as fixed by this Court, the meeting could not be held.
Both the reports are hereby taken on record and the Company Applications are disposed of leaving it open to the applicants to obtain the consent of the secured creditors for the proposed scheme of amalgamation. No costs.
