Matter comes up for considering the report No.13849 dated 13.02.2023 for dissolution of the company in liquidation under Section 481 of the Companies Act, 1956.

Mr.Ruvit Kumar, Official Liquidator submits that the company in liquidation was ordered to be wound up by the order passed by this Court on 14.07.1995 and subsequent order dated 30.01.1997.

Mr.Ruvit Kumar, Official Liquidator submits that the company in liquidation is having funds of Rs.3,90,229.56/- on the date of filing of the present report.

Mr.Ruvit Kumar, Official Liquidator submits that the claims were invited on several occasions by the Official Liquidator and ultimately, full and final claims have been settled and the same have also been approved by this Court.

Mr.Ruvit Kumar, Official Liquidator submits that since the company now stands wound up and as such, now it has become

necessary that the order of dissolution of the company may be passed by this Court.

I have gone through the averments made in the report and heard Official Liquidator.

This Court finds that the company in liquidation may be dissolved as per Section 481 of the Companies Act, 1956 and the amount of Rs.3,90,229.56/- plus interest is permitted to be transferred to the Common Pool Fund Account maintained by the Official Liquidator for the purpose of winding up expenses and other charges (audit fees expenses), as has been highlighted in para 12 of the report.

This Court accordingly takes on record the Report No.13849 dated 13.02.2023.
