Definitions.-(l) ' In these Regulations, unless the context otherwise requires, f .,,(a) "Act" means, the Kerala Industr.ial lnfrasrucure Development Acf, 1993; (Act 3 of 1993) (b) 'Member' means a Mernber oI'the Corporation specitied in séction 5 of the Act hnd includes thc Chairman (2) uscd and not delured in these Reg n the Act sliall, have the meanings, lhem in the Act. 3. Tiine and place of meeting oJ'the ;nembers of the Corporatiòn.-(l) The Cor,ooration shall meet at-such intervals as may be decided by the Chairman. (2) Notwìthstanding anything contained in sub- sectiòn (l) of ssction 4,.the Chairman shall'also convene. an emergency- meeting of the Corporation. if occasion so dernand, anil such meetitrgs shalt be conl,ened on a date by gvrng notice to évery member. (3) Meetings of the Corporation shall ordinarily be held at the Head Office at Thiruvananthapiuam or if so directed by the Chairman, at any of other offibe of the Coiporation in the Stare. 4. Notice qnd agenda.-Ordinarily not less than 14 days' notice of every meeting shal'l be given 1o the lvlerirbers of the Corporation and such notice shall contain the place. date, time and the matters to be drscussed. 5. Quonun.-\l) The quorum for a meering of the Corporation shaU be one third of the roal nurnber of nrembers,. of which at least three memben shall be ex+fficio membèrs..ì (2) In the absence of the Chairmau, t\e members present at'ihe méetùg inay elect ome iierson fiorn among " them, to preside over the meeting. 6. Deciston of the meeting,-All fhe subject nratters coming for the considerarion before the Committee shail be determined by the majorit-v of vote of the members pres'ent and in case of an equality of votes, the Chairman shall have a second or casting vote. 7. Disclosure of intercst ol o rnember in op1, indusirial concern.-(l) Every member who is direòtly or indirectly coucerned or has any personal interest in any , contract, loan arrangement entereil into by or on behalf of the Corporation with any coucern shall at the edrliest p'ossible oppoituniry disclose the narure of his interest in th€ co(rcern at the meetiug of the memi;-ers. or the. committee, as the case may be, and shall not be present at any meeting of the Corporation or the Executive Conlniltee sihen any.such coritract. loan or agreement is discussed, unless his presence is required,b,r'' the other members for the purpose of eliciting infounarion.
