The petitioner company executed an unregistered agreement of sale dated 19-05-2022 in respect of the suit schedule property with one Yashodhar G Nayak, being representative of the respondent. As per the terms of unregistered agreement of sale dated 19-05-2022 was executed between the parties, as an interim step towards completing the sale transaction between the parties, the parties agreed that the sale consideration amount for the schedule property was Rs. 19,00,00,000/- and the respondent agreed to make advance payment of Rs. 2,00,00,000/-. The plaintiff company entered into two memorandum of understanding dated 19-05-2022 with the respondent. The respondent was liable to pay advance amount of Rs. 2,00,00,000/in two stages. The respondent made advance payment of Rs. 1,00,00,000/on 05-05-2022 and the respondent was required to pay the advance further sum of Rs. 1,00,00,000/- within 60 days from the date of execution of agreement of sale.
