Petitioner No.1 is a company engaged in the manufacturing of Telecom equipments. Petitioner Nos.2 and 3 are the Managing Director and Director of petitioner No.1 company. Petitioner No.1 was covered under the Employees’ Provident Funds and Miscellaneous Provisions Act, 1952 (‘the Act’ for short).

Admittedly, at the relevant time, petitioner No.1 employed around 430 employees. As per Section 6 of the Act, petitioner No.1 was bound to collect the Employees’ share of provident fund contribution and adding it’s own contribution, to remit the same to the fund.

Assistant Provident Fund Commissioner of the respondent organisation passed the order dated 08.07.2013 under Section 7A of the Act holding that the petitioners are liable to remit Rs.17,83,737/- under the heads of administrative charges, Employees’ and Employer’s provident fund contribution etc. for the period December 2008 to July 2012 and August 2012 to February 2013 exclusive of penal interest payable under Section 7Q

of the Act and damages leviable under Section 14B of the Act. Therefore the respondent sought sanction to prosecute the petitioners for contravention of Section 6 of the Act read with Paras 30 and 38 of the Employees’ Provident Funds Scheme, 1952 (‘the Scheme’ for short) which is punishable under Sections 14(1A) and 14A of the Act and para 76(d) of the Scheme.

The respondent issued notices to the petitioners claiming that though the petitioners collected administrative charges, insurance and the provident fund contributions from employees failed to remit the same for various months, thereby rendered themselves liable for prosecution. The said notice was common notice and produced in Crl.P.No.5372/2016. To the said show cause notice, the petitioners submitted their reply as per Annexure-C dated 12.02.2014. The documents/annexures submitted in Crl.P.No.5372/2016 will be considered for common reference in all these cases.

One Sri Amardip Mishra, the Regional Provident Fund Commissioner-II, Sub Regional Office, Bommasandra, Bengaluru by order dated 28.04.2015 granted sanction to prosecute the petitioners. On the basis of such sanction order, the respondent filed the complaint before the Special Court for Economic Offences, Bengaluru in C.C.Nos.116 to 149 of 2015 and C.C.Nos.156 to 171 of 2015 seeking prosecution of the petitioners for the offences punishable under Sections 14(1A) and 14A of the Act and para 76(d) of the Scheme, para 42(d) of the Employees’ Pension Scheme, 1995 and para 29(d) of the Employees’ Deposit-linked Insurance Scheme, 1976.

Special Court took cognizance of the offences on 02.05.2015 and issued process against the petitioners to face trial. The petitioners in these criminal petitions seek quashing of the said proceedings. ¶157

9. The petitioners seek quashing of the impugned proceedings on the following grounds:

(i) That the sanction orders issued to prosecute

(ii) A sum of Rs.4,00,000/- was remitted to the

fund by way of delayed payments;

(iii) In addition to filing the complaint by virtue of

the proceedings under Section 7A of the Act, recovery proceedings to recover the sum due were initiated against the petitioners. The Recovery Officer exercising the power under Section 8 and 8(1)(b) of the Act issued arrest warrant against petitioner No.2. He filed Writ Petition No.1372/2016 before this Court for quashing of the said arrest warrant. This Court vide interim order dated 12.01.2016 stayed non-bailable warrants subject to deposit of Rs.7,00,000/- which was payable in two installments of Rs.3,50,000/- each. Accordingly, the petitioners have deposited the said sum of Rs.7,00,000/before this Court by March 2016;

iv) Taking into consideration, such payment, the proceedings are liable to be quashed.

any offence under this Act or Scheme or the Pension Scheme or the Insurance Scheme.”

Reading of the above provision makes it clear

that the Court is barred from taking cognizance of the offences under the Act and the Scheme unless there is previous sanction of the Central Provident Fund Commissioner or such other Officer as may be authorized by the Central Government by notification in that Official Gazette in that behalf.

¶200

In the case on hand the sanction order was not

¶201

issued by the Central Provident Fund Commissioner. To show that Regional Provident Fund Commissioner Grade-II was competent to issue the sanction order and authorized under the notification, learned Counsel for the respondent herself has produced the notification bearing S.O.549(E) issued on 17.10.1973. The notification says that, that shall come into force on 01.11.1973.

Reading of the above notification makes it clear that in the State of Karnataka, the Regional Provident Fund Commissioner was notified as the sanctioning authority. The final paragraph of the notification which is a deeming provision only says whatever sanction issued in respect of any States/Regions/Sub-Region created after 17.10.1973 by the Regional Provident Fund Commissioner of the erstwhile regions shall be deemed to have been issued as per the powers exercised under the notification.

In the case on hand, the Sub Regional Office covering the petitioner’s establishment was established in 2006. Sri Amardip Mishra, the Regional Provident Fund Commissioner Grade-II was transferred to the SubRegional office by office order dated 11.06.2014. It was contended that since he was in charge of Sub-Regional Office, Bommasandra, he was the Regional Provident Fund Commissioner relating to the said office, therefore he was competent to issue the sanction order.

In Aimil Pharmaceuticals (I) Ltd.’s case

¶240

referred to supra relied upon by learned Senior Counsel, similar facts were involved. In that case also, the sanction order was issued by the Regional Provident Fund Commissioner Grade-II. The Delhi High Court referring to the notification in this regard in paras 16, 20, 21 and 22 of the judgment held as follows:

“16. It is pointed out that the authority which has granted the sanction for prosecution is not the Regional Provident Fund Commissioner, In-charge of

the region but an officer inferior in rank and status in hierarchy, i.e. Regional Provident Fund CommissionerII. It is also pointed that that the sanction order is passed under the impression that the company to be prosecuted had failed to submit "within the stipulated time" the "Employees‟ Deposit Linked Insurance Contributions and the Administrative Charges" which, it is argued, is factually wrong.

The petitioners have brought out, through their submissions, on the basis of Office Manual issued by Employees Provident Fund Organization that the regional office is headed by Regional Provident Fund Commissioner-I, he being assisted by other officers also designated as Regional Provident Fund Commissioners, each of them entrusted with various responsibilities including recovery of the dues. It was also shown through the copies of two different Gazette notifications - GSR 283 and GSR 284 - both dated 30.08.1999 that the Employees Provident Fund Establishment is manned by officers appointed under section 5-D of the Employees Provident Fund Act, they including officers holding positions of Regional Provident Fund Commissioner Grade-I and Regional Provident Fund Commissioner Grade-II, the latter being the feeder cadre for officers of the former rank and consequently the former being superior in hierarchy . As is clear from the Office Manual of Employees Provident Fund Organization, the regional

office is headed by an officer in the rank of Regional Provident Fund Commissioner Grade-I.

In above state of hierarchy, the petitioners are right in their submission, that the notification dated 17.10.1973 issued in exercise of power under Section 14AC of the Employees’ Provident Fund Act can be construed as delegating the power to sanction prosecution vested in the Central Provident Fund Commissioner only unto the Regional Provident Fund Commissioner, in-charge of the regional office and not the Regional Provident Fund Commissioners of the lower grade or rank. Since the Regional Provident Fund Commissioner-II was also the assessing authority in this case, the same officer himself could not, even otherwise, have been also the authority to grant sanction for prosecution on account of disobedience (if any) of his own order. At any rate, no order or notification further delegating the power to the Regional Provident Fund Commissioners of the lower grade was shown at the hearing.

In above view, this court finds that the sanction for prosecution in these twelve cases has been granted by an officer who did not have the requisite authority of law . As noted earlier, it is fairly conceded by counsel for complainant that valid sanction is sine qua non for a valid order of cognizance. The lack of competence in the authority that accorded sanction in these cases knocks the

bottom out of the prosecutions in the twelve cases.

This itself is a good ground for this court to interdict under Section 482 Cr.P.C .”

Reading of the above judgment shows that the Regional Provident Fund Commissioner and the Regional Provident Fund Commissioner Grade-II are different designations. It is further held that when the statute and the notification authorizes a particular person, sanction order should be issued by such authority only otherwise the prosecution is incompetent.

¶257

Learned Counsel for the respondent vehemently contends that only for the purpose of Region wise administration posts of Regional Provident Fund Commissioner Grade-I & Grade-II etc. are created. But the power exercised by them under the Act are one and the same.

Admittedly Bommasandra is only Sub Regional

Office and not Regional Office. The Act and the notification clearly show that the sanction shall be granted by the Central Provident Fund Commissioner or the Regional

Provident Fund Commissioner. It does not further delegate the power to the Sub-Regional Officer.

The Act being Special Statute carries penal consequence and the default punishment. Any act contemplated under the Act or the Scheme shall be strictly in compliance with the provisions of the Act and the notification therein. Neither Section 14AC of the Act nor the notification authorizes the Regional Provident Fund Commissioner Grade-I to delegate the power to Regional Provident Fund Commissioner Grade-II to issue the sanction order. Therefore this Court is not persuaded to accept that the judgment of the Delhi High Court is not applicable.

Though it is contended that the Sub Regional Office, Bommasandra is independent establishment not covered under the administrative powers of the Regional Provident Fund Commissioner Grade-I or there is no post of Regional Provident Fund Commissioner for that sub-

region, nothing was placed before this Court to

substantiate the said contentions.

Under the circumstances, this Court is of the view that the sanction order issued by the Regional Provident Fund Commissioner Grade-II was not valid for want of authorization under Section 14AC of the Act or the notification.

Reg. Part payment of the dues:

The amount due was paid on various dates as

shown in the table supra. It was also contended that later Rs.7,00,000/- is deposited before this Court. Thus in all Rs.11,56,089/- is paid. It was contended that taking the same into consideration, the impugned orders are liable to be quashed.

To seek such indulgence, learned Senior Counsel relied on the judgment of the Hon'ble Supreme Court in Adoni Cotton Mills Ltd.’s case referred to supra . Perusal of the said judgment shows that the Hon'ble Supreme Court in that case held that the entire payments

were made during pendency of the said proceedings. The Hon'ble Supreme Court taking into consideration the fact that two of the appellants therein died and the matter was pending for about two decades, exercising power under Article 142 of the Constitution quashed the notice. Therefore the said judgment is not applicable.

Further excluding the penalty and damages, the amount due was Rs.17,83,737/-. Out of that only Rs.4,56,089 was paid, that too belatedly. Rs.7,00,000/deposited before this Court has not still gone to the account of the respondent. Even adjusting both amounts paid and deposited, still as on the date, Rs.6,37,648/- is outstanding. The said amount is outstanding since long time i.e. 2008 onwards.

As per the above table, petitioners have not paid the administrative charges from June 2011. The Employees’ share of the Provident fund contribution to the tune of Rs.2,04,574/- was not paid in C.C.No.130 to 132 of 2015. The Employers’ share and contribution of

Rs.10,66,298/- covering period March 2009 to February 2013 is not paid.

There cannot be any dispute that the moment the default is committed in paying contribution to the fund, the offence stands committed. This Court in M/s. Vasan

Health Care Pvt. Ltd.’s case referred to supra relying on the other judgments of the Hon'ble Supreme Court relied on by learned Counsel for the respondent, in para 19 of the judgment held as follows:

It is also necessary to observe that if this Court exercises extraordinary jurisdiction to quash the proceedings on the ground of payment having been made, it would amount to granting a premium to the defaulter and while considering social beneficial legislation, the object and purport of the Act, which is sought to achieved, will have to be kept in mind viz., the object sought to be achieved under the Act is to ensure welfare of the workers and in the event of criminal prosecution initiated against a defaulter establishment is quashed on the ground of payment having been made though belatedly, it may lead to a situation where the covered establishment’s may say:

- Hence, absolve me of all liabilities.”

This would defeat the purpose and intent of

the Act and amounts to granting a premium to such establishments or employers and particularly those who collect the employees’ contribution by deducting the same from the salaries of employees and yet do not remit the amount to the Fund thereby depriving the employees as well as the corpus of Fund not being put to beneficial investment for the benefit of such employees.”

As observed by this Court in the above judgment to quash the proceedings on the ground that part of the dues were paid defeats the spirit and intent of the Act and amounts to granting a premium to such establishments or employers and particularly those who collect the employees’ contribution by deducting the same from the salaries of the employees to misappropriate. Therefore this Court is not persuaded to accept the second ground for quashing of the proceedings.

In view of the fact that the sanction order was not issued by the competent authority, the impugned

proceedings in these cases are liable to be quashed. Therefore the petitions are allowed.

The impugned proceedings in C.C.Nos.116 to 149 of 2015 and C.C.Nos.156 to 171 of 2015 on the file of Special Court for Economic Offences, Bengaluru are hereby quashed.

¶300

Liberty is reserved to the respondent to secure appropriate sanction and proceed against the petitioners.
