Appeal against order dated 15.09.2025 of the Civil Judge, Jorhat in Misc. (J) Case No. 27/2012 in Title Suit No. 41/2012 dismissing an injunction application under Order XXXIX Rules 1 & 2 read with Section 151 CPC. The suit, filed in August 2012 by late Hemendra Prasad Barooah (who died on 31.07.2013; the appellant Somnath Chatterjee, sole Executor under registered Will dated 17.09.2012, was substituted), sought declaration of sole ownership of 8,61,918 equity shares of B & A Ltd. lying in a demat account (DP ID IN 301151, client ID 26424547) held jointly with OP No. 2 (the deceased's daughter), with restraint on transfer and on misuse of ten delivery instruction slips (AA44026920-929). OP No. 2 conceded, before the trial court and before this Court, that she had no objection to an injunction restraining herself from transferring the shares. The trial court nonetheless dismissed the application, holding the parties joint owners, that one joint holder alone cannot transfer the shares, and that no cause of action/prima facie case existed at the time of filing. Held: (i) the proper course was to dispose of the application in terms of the concession; (ii) under NSDL Rule 12.6.1, transmission of shares on the death of a joint holder is not automatic and requires an application in proper form by the surviving holder, so a consent order would violate no 'legal framework' — the trial court's insistence to the contrary was misconceived; (iii) whether respondent No. 2 was entitled to transfer the shares to her individual account upon the death of the other joint holder was the very question in the suit, inseparably linked to ownership; yet (iv) relief in appeal is confined to the contours of the injunction prayer, there being no prayer for transfer of the shares to the appellant's individual account. Impugned order set aside; appeal disposed of with directions that respondent No. 2 not transfer the 8,61,918 shares and respondent No. 3 (HDFC Bank) not facilitate any such transfer; earlier orders (including the status quo order) merged in this order; all pending IAs disposed of.
