This Original Application is filed on 06.10.2017 by the applicant bank under Section 19 of Recovery of Debts and Bankruptcy Act, 1993 (formerly Recovery of Debts Due to Banks and Financial Institutions Act, 1993) against the defendants, jointly and severally for recovery of a total sum of Rs.8,79,03,224.80p (Rupees Eight Crores Seventy Nine Lakhs Three Thousand Two Hundred and Twenty Four and Eighty Paise only) due in respect of Cash Credit facility (A/c No. 047902000003940) repayable together with further interest @ 13% p.a., with monthly rests from the date of Application till the date of realization in full, for sale of schedule mentioned hypothecated and immovable properties and for costs of this OA.

Originally, this Application was filed before DRT-II, Chennai, assigned OA No.209 of 2023, and thereafter in pursuance to the notification from Ministry of Finance, DFS dated 04.10.2022, OA No. 209 of 2023 stood transferred to this Tribunal and renumbered as TA No.38 of 2023.

Brief Facts of the case:

The Applicant submits that the application is filed within the period of limitation as prescribed under Section 24 of the Recovery of Debts and Bankruptcy Act, 1993, and the subject recovery claim falls within the jurisdiction of this Tribunal.

It is the case of the applicant bank that the 1^st defendant

approached the applicant bank and requested for credit facility for business purpose. Based on the request, the applicant bank sanctioned to the 1^st defendant herein a Open Cash credit of Rs.1,00,00,000/- (Rupees One Crore only) against Hypothecation of Book Debts vide its Credit sanction advice dated 18/05/2011, terms and conditions of which are accepted and acknowledged by the defendants herein.

The applicant bank submits that in evidence of availing the aforesaid Cash Credit facility, the 1^st defendant executed the following loan documents:-

a) Demand promissory note dated 18/05/2011 for Rs.1,00,00,000/(Rupees One Crore only) together with interest thereon at the rate of 12.5% per annum from the date until payment in full with monthly rests or such rates as may be revised by the bank from time to time.

b) Letter of Continuity and Confirmation of DPN dated 18/05/2011 for Rs.1,00,00,000/-.

c) Hypothecation of Book Debts dated 18/05/2011 for Rs.1,00,00,000/- as security for the due repayment to the applicant at any time on demand at Chennai and

d) Letter of Hypothecation (for securing Machineries/ vehicles/ Goods/ book debts) dated 18/05/2011 for Rs.1,00,00,000/(Rupees one Crore only) thereby hypothecated receivables & book debts relating to the company.

passed a Resolution at the meeting of its Board of Directors on 30/06/2012 thereby accorded permission to its Board of Directors to borrow money from the applicant bank, amount of Rs.4.00 Lakhs and also authorized the 2^nd defendant herein to execute the relevant loan documents as may be required by the bank on behalf of the 1^st defendant.

The applicant submits that in addition to the aforesaid documents executed by the 1^st defendant company, the 3^rd defendant offered his property morefully described in the schedule-B given hereunder along with his yet another property situated at Plot No.83 Part, Old Door No.3, New Door No.5, 4^th Cross Street, Seethamma Colony, Alwarpet, Chennai600 018 as the collateral security for the credit facilities availed by M/s. Crown electrical (Madras) totaling a sum of Rs.14,03,00,000/- (Rupees Fourteen Crores and three lakhs only) which includes the exposures availed by 1) Bank guarantee 2) Crown Spacifics And Interior Decorators India Private Limited (1^st defendant herein and 3) Housing loan and thereby created an equitable mortgage by way of deposit of the title deeds pertaining to the said properties and also executed a Memorandum of Deposit of Supplemental Memorandum of Deposit of Title Deeds dated 20/07/2012 and registered as Document No.701 of 2012 at SRO, joint-I, District Registrar’s Office, Chennai Central. However, as the said Housing Loan was closed and its documents were released, the aforesaid property of the 1^st defendant at Seethamma Colony is not included in this application.

The 3^rd defendant had executed Supplemental Mortgage in favour of applicant bank on 20.07.2012 for a sum of Rs.14,03,00,000/-. It is pertinent to note that aforesaid M/s Crown electrical (Madras) is a proprietary concern represented by its proprietor Mr.V. Sasikumar, the 3^rd defendant herein, who is the father of the 2^nd defendant herein and the husband of the 4^th defendant herein.

The applicant bank submits that again at the request of the 1^st defendant, the applicant bank enhanced the aforesaid open cash credit of Rs.1,00,00,000/- (Rupees one Crore only) to Rs.4,00,00,000/- (Rupees four Crores only) by sanctioning an additional cash credit of Rs.3,00,00,000/- to the 1^st defendant.

It is submitted by the applicant bank that in evidence of availing the aforesaid enhanced Cash Credit limit of Rs. Rs.4,00,00,000/- (Rupees four Crores only) the 1^st defendant executed the following loan documents:

a) Demand promissory note dated 25.07.2012 for Rs 3,00,00,000/(Rupees three Crores only) together with interest thereon at the rate of 13% per annum from the date until payment in full with monthly rests or such rates may monthly rests or such rates as may be revised by the bank from time to time,

b) Letter of continuity and confirmation of DPN dated 25.07.2012 for Rs.4,00,00,000/-

d) Letter of hypothecation (for securing Machineries/ vehicles/ Goods/ book debts) dated 25.07.2012 for Rs.4,00,00,000/(Rupees one Crore only) thereby hypothecated book debts.

The applicant submits that the defendants 2 to 6 executed guarantee for cash credit on 25.07.2012 separately and individually, guaranteeing the due repayment of the cash credit facilities of Rs.4,00,00,000/-availed by the 1^st defendant company and the same is continuing in nature and subsisting as long as the amounts are due and payable by the 1^st defendant.

The applicant submits that at the request of the 1^st defendant, an adhoc facility of Rs.100 Lakhs was sanctioned by the applicant bank on 14.12.2012, which was adjusted before effecting the enhancement mentioned here in below and so the defendants did not execute any loan documents for the same and applicant bank has not filed any documents with regard to the said adhoc facility.

It is further submitted by the applicant bank that at the request of the 1^st defendant, the applicant bank further enhanced/sanctioned the following credit facilities to the 1^st defendant company, vide its credit sanction advice dated 21.03.2013, the terms and conditions which are accepted and acknowledged by the defendants:

(i) Cash Credit (Enhancement) of Rs.6,50,00,000/- (Rupees Six Crores and Fifty Lakhs only) enhanced from Rs.4,00,00,000/against stocks and book debts upto 90days.

(ii) Bank Guarantee (Sub limit under CC) (Performance / financial/ retention money/ Bid bond etc.,) (fresh) of Rs.1,00,00,000/-

The applicant further submits that in evidence of availing the aforesaid enhanced Cash Credit limit of Rs.6,50,00,000/-, the 1^st defendant executed the following loan documents:-

a) Demand promissory note dated 26.03.2013 for Rs 2,50,00,000/(Rupees Two Crores and fifty lakhs only) together with interest thereon at the rate of 12.75% per annum from the date until payment in full with monthly rests or such rates may monthly rests or such rates as may be revised by the bank from time to time,

b) Letter of continuity and confirmation of DPN dated 26.03.2013 for Rs.6,50,00,000/-.

c) Letter of hypothecation (for securing Machineries/ vehicles/ Goods/ book debts) dated 26.03.2013 for Rs. 6,50,00,000/(Rupees Six Crore and fifty lakhs only) thereby hypothecated receivables from various parties (present and future).

The applicant submits that the defendants 2 to 6 executed a Guarantee for Cash Credit on 26.03.2013 separately and individually guaranteeing, due repayment of the Cash Credit facilities in a sum of Rs. 6,50,00,000/- availed by the 1^st defendant and the same is continuing in nature and subsisting as long as the amounts are due and payable by the 1^st defendant.

It is further submitted by the applicant bank that the 1^st defendant had also executed two Revival Letters dated 10.05.2014 and 05.05.2017 respectively for the above said credit facilities availed from the applicant bank. The 1^st defendant agreed to pay the interest for the above said loans availed by them at the rate of 13% per annum compounded on monthly rests basis. The said interest rate is linked to the base rate of the bank and the same is subject to revision as per bank usual practice and RBI norms from time to time.

The applicant submits that the said credit facilities availed by the 1^st defendant are primarily secured by the Hypothecation of Book Debts and receivables (present and future) from various parties of the 1^st defendant company morefully described in the Schedule-A to the OA and are also collaterally secured by Equitable mortgage by deposit of title deeds in respect of the property belonging to 3^rd defendant, morefully detailed in Schedule B to the OA.

The applicant submits that since the defendants failed to regularize their loan account, it was declared as a Non-Performing Assets (NPA) on 01.07.2015. The applicant issued a Lawyer Notice dated 01.08.2017 to the defendants, calling upon them to repay the dues along with interest at contractual rate. The notices sent to the first address of the 1^st defendants returned with a postal endorsement “Left” on 02.08.2017 and the notice sent to other addresses of the defendants were all received and duly acknowledged by them on 02.08.2017. The defendants have also sent a Reply Notice dated 08.05.2017, thereby admitted and

acknowledged all the credit facilities availed by the 1^st defendant company herein and sought another six months time to discharge the outstanding loan amount, but have not paid any amount to settle the loan dues to the applicant bank. Hence, the present Original Application (OA) has been filed by the applicant bank for recovery of its dues from the defendants.

After the filing of the OA, summons were sent to the Defendants - D1 to D6 through Registered Post with Acknowledgment Due, which returned with postal endorsement as ‘no such company’ to the first address, while summons to second address of D1 was duly served. Summons to D2 to D4 were duly served. Summons to D5 returned with remarks ‘Left India’. Summons to D6 returned with remarks ‘Door locked’.

Defendants 1 to 4 entered appearance through their counsel and filed vakalath and Written Statement on 31.12.2018. Applicant Bank had caused paper publication of the notice and filed proof thereof. When OA was taken up on 30.11.2018 even after giving sufficient time, there was no appearance or representation from the defendants 5 and 6. Hence, Defendants 5 and 6 were placed ex-parte on 30.11.2018. Subsequent to filing of written statement, except for two hearings, there was no representation for defendants 1 to 4 for several hearings. The applicant bank had caused by way of paper publication in two newspapers in IAs filed to condone delay of 277 days in filing petition to set aside abatement, to set aside abatement and for impleading the LRs for deceased 2^nd defendant. Despite notice, as defendants did not appear,

the defendants were called absent and set ex-parte on 11.03.2022 before DRT-II, Chennai.

Thereafter, due to bifurcation of jurisdiction, the case was transferred to this Tribunal. IAs 1298/22 to 1300/22 for condonation of delay, abatement and for impleading the LRs of deceased 2^nd defendant was allowed on 30.10.2023 and applicant bank was directed to file amended OA and issue notice to all the defendants, inducing newly added defendants, which all again returned unserved, except for 4^th and 6^th defendants, who received the notices. Defendants 7 to 9 were called absent and set ex-parte on 12.01.2026.

As defendants 1 to 4 did not take action to set aside the order dated 11.03.2022, wherein they were placed ex-parte, the Written Statement filed by the defendants 1 to 4 could not be considered. Moreover, except for two hearings, the defendants 1 to 4 did not appear on any of the hearing dates subsequently.

Heard the submissions of Applicant Bank and perused the record s.

To prove the case of the Applicant Bank, Mr. Vinuraj M.P, Chief Manager of the Applicant Bank, has filed his Affidavit by way of evidence and same was considered as evidence of AW-1 and list of documents came to be marked as Ex A-1 to A-40 .

A careful examination of the pleadings in the Proof Affidavit and documents Exhibits A-1 to A-40 evidence that the borrowal of credit

facilities and execution of loan and security documents are true, in terms of averments made in Original Application as well as Proof Affidavit filed by applicant bank establishing its claim. Applicant bank filed Statement of Accounts duly certified under Bankers’ Book Evidence Act, evidencing the amount claimed against defendants.

The defendants were set ex-parte on 11.03.2022 and 12.01.2026, but till this day they did not take any action to set aside the ex-parte order and did not choose to contest the claim. Further, a careful scrutiny of records makes it clear that present application is filed well within limitation and this Tribunal possesses necessary and proper jurisdiction to entertain and adjudicate the claim. No oral or documentary evidence on the side of defendants are produced or filed to dispute the claim of applicant bank. Hence, it can be concluded that applicant bank has proved its claim against defendants.

During the pendency of OA, the applicant bank had reported part satisfaction of OA claim in a sum of Rs.2,70,35,500/- by way of immovable mortgaged property sale under SARFAESI Act on 26.07.2022 and the sale consideration received was duly credited to the borrower’s loan account. The sale certificate was issued in favour of auction purchaser on 25.08.2022.

With regard to the amount advanced, the interest applied, the conduct and operations in the account and the default committed, this Tribunal comes to the conclusion that the applicant bank is entitled for a final order on the following terms:

: O R D E R :

The OA is allowed with costs,

(a) The applicant bank is allowed to recover from the Defendants jointly and severally, a total sum of Rs.8,79,03,224.80p (Rupees Eight Crores Seventy Nine Lakhs Three Thousand Two Hundred and Twenty Four and Eighty Paise only) due in respect of Cash Credit facility (A/c No. 047902000003940) repayable together with further interest @ 13% p.a., with monthly rests from the date of Application till the date of realization in full along with costs of this application.

(b) The liability of defendants 6 to 9, being legal heirs of 2^nd defendant is restricted to the extent of estate inherited by them from deceased 2^nd defendant.

(c) The sum of Rs.2,70,35,500/- realized by way of E-auction sale under SARFAESI Act is directed to be given credit to the borrower’s loan account as on the date of realization.

(d) In the event of failure of the Defendants to pay the aforesaid amount, the bank is at liberty to recover the amount by sale of the schedule A mentioned hypothecated assets morefully detailed in the OA schedule.

(e) Schedule A shall be appended to this final order.

(f) If the sale proceeds of the mortgaged property and hypothecated assets are not sufficient to satisfy the dues as ordered above, the applicant bank is at liberty to sell the personal assets of

the Defendants 1, 3 to 6 (both movable and immovable) to recover the balance dues as required under law for which the Defendants 1, 3 to 6 to disclose to the Tribunal particulars of other properties or assets owned by the Defendants 1, 3 to 6.

(g) The applicant bank shall file the latest memo of calculation of OA amount together with interest, costs etc., to be paid by the Defendants duly considering the amounts, if any, paid by the Defendant and/or amount realized by sale of assets etc., during the intervening period after the filing of the OA, enabling the Registry to prepare Recovery Certificate for the amount to be paid by Defendants to the applicant bank.

(h) The applicant bank shall file memo of costs within ten days from the date of receipt of this final order.

(i) Recovery Certificate shall be drawn up and issued to the Recovery Officer in terms of the final order.
