This Original Application is filed on 16.11.2021 by the applicant bank under Section 19 (1) of Recovery of Debts and Bankruptcy Act, 1993 (formerly Recovery of Debts Due to Banks and Financial Institutions Act, 1993) against the defendants 1 to 3 jointly and severally for recovery of a total sum of Rs.1,35,48,951.47p (Rupees One Crore Thirty Five Lakh Forty Eight Thousand Nine Hundred and Fifty One and Forty Seven Paisa Only) as follows:

(i) A sum of Rs.1,10,05,887.49p due in respect of Cash Credit facility (A/c No.71550500000017), repayable together with further interest @ 9.65%, p.a. with monthly rests from the date of filing the OA, till date of realization in full;

(ii) A sum of Rs.4,78,395.31p due in respect of WCTL Loan Facility (A/c No.71550600000515), repayable together with further interest @ 8.80%, p.a. with monthly rests from the date of filing the OA till date of realization in full,

Originally, this Application was filed before DRT-II, Chennai, assigned OA No.52 of 2022, and thereafter in pursuance to the notification from Ministry of Finance, DFS dated 04.10.2022, OA No.52 of 2022 stood transferred to this Tribunal and renumbered as TA No.213 of 2023.

Brief Facts of the case:

The Applicant submits that the application is filed within the period of limitation as prescribed under Section 24 of the Recovery of Debts and Bankruptcy Act, 1993, and the subject recovery claim falls within the jurisdiction of this Tribunal.

It is the case of the Applicant Bank that the 1^st Defendant Firm represented by its three Partners viz. Mr. Jayant M. Shah (1^st Defendant), Tmt. Kamalaben M Shah and Tmt. Harshada M Shah, during the year 2014, applied for sanctioning of credit facilities with the Applicant's then DENA BANK Tondiarpet Branch.

sanctioned a Cash Credit Limit of Rs.99,00,000/ (Rupees Ninety Nine Lakhs only) towards Working Capital as against Hypothecation of Stocks of paints and Book Debts under Loan Account - Old No. 052513000027 (New No. 71550500000017). The 1^st Defendant Firm represented by its Partners availed the sanctioned Cash Credit Limit on and from 12.08.2014 as evident from the Statement of Accounts relating to the said loan.

To secure the said Cash Credit Limit, the 1^st Defendant Firm represented by its Partners viz. Mr. Jayant M. Shah (1^st Defendant), Tmt. Kamalaben M Shah and Tmt. Harshada M Shah have jointly executed the following security loan documents in favour of the Applicant's the then DENA BANK, Tondiarpet Branch Chennai-600 081 viz.,

a) Demand Promissory Note executed by the 1^st Defendant Firm represented by its three Partners for a sum of Rs.99,00,000/promising to repay jointly and severally in favour of the then Dena Bank, Tondiarpet branch on 12.08.2014 for the value received with interest at the rate of Base Rate plus 2.65% per annum over and above/below the published Dena Bank Base Rate System (DBBR), the present DBBR being 12.90% per annum with Monthly Rests along with Interest Tax as applicable.

b) Letter of Continuing Security executed by the 1^st Defendant Firm represented by its three Partners for a sum of Rs.99,00,000/- on 12.08.2014 in favour of the then Dena Bank, Tondiarpet branch.

e) Agreement of Hypothecation (Goods, Book Debts and other movable Assets to Secure Multiple Facilities From the Borrower's executed by the 1^st Defendant Firm represented by its three Partners for a sum of Rs.99,00,000/- on 12.08.2014 in favour of the then Dena Bank, Tondiarpet branch, duly hypothecating Stocks of all kinds of paints at No 11, North Terminus Road, Toll Gate, Chennai-600 081.

f) Letter of Guarantee executed by the three Partners viz. Mr. Jayant M Shah (1^st Defendant), Tmt. Kamalaben M Shah and Tmt. Harshada M Shah on 12.08.2014 in favour of then Dena Bank, Tondiarpet branch, duly guaranteeing the repayment of the Cash Credit Limit of Rs.99,00,000/- availed by the 1^st Defendant Firm

g) Declaration in respect of Pending Court Cases of Banks & Financial Institutions (To be obtained along with Application) executed by the 1^st Defendant Firm represented by its Partners viz Mr. Jayant M. Shah (1^st Defendant), Tmt. Kamalaben M Shah and Tmt. Harshada and three Partners as Guarantors personally on 12.08.2014 in favour of the then Dena Bank. Tondiarpet branch.

The Applicant submits that the 1^st Defendant Firm represented by its Partners has executed a Letter of Acknowledgment of Debt on 03.08.2017 in favour of Applicant's then Dena Bank Tondiarpet Branch Chennai-600 081 duly admitting and acknowledging the outstanding liabilities.

It is further submitted that vide a fresh Partnership Deed dated 01.04.2018, the 1^st Defendant Firm was reconstituted with Partners Mr. Jayant M Shah and Mr. Vishal J Shah (viz. Defendants 1 and 2) and still they continue to be partners of the 1^st Defendant Firm.

The Applicant submits that in the course of operation of Cash Credit Limit Loan Account, the 1^st Defendant Firm represented by its Partners, vide Application dated 12.02.2019, applied for Renewal of the said Cash Credit limit of Rs.99,00,000/- and accordingly vide Letter of Sanction dated 28.02.2019, the Applicant's then Dena Bank, Tondiarpet branch sanctioned a Renewal of Cash Credit Limit under Loan Account No.052513000027 (New No. 71550500000017) for a period of One Year from 28.02.2019 along with Term and Conditions, which was duly accepted by the 1^st Defendant Firm represented by its Partners in writing under their signatures.

It is submitted that the then DENA BANK has been merged and amalgamated with Bank of Baroda on and from 01.04.2019 by a Gazette Notification dated 02.01.2019 and accordingly the then Dena Bank, Tondiarpet Branch has been renamed as Bank of Baroda, Tondiarpet Branch (Applicant Bank) with transfer of funds, liability from debtors, all

other accounts of the customers, Fixed Deposits etc, and as such Applicant is entitled to recover the suit claims from the Defendants.

It is submitted that vide Proposal cum Note to the Regional Office Level Credit Committee (RMCC) Headed By Deputy General Manager, Chennai Metro Region 1 dated 31.03.2020, the Applicant not only approved the Renewal of Cash Credit Limit for Rs.99,00,000/- by way of Restructure under MSME One Time Restructure Scheme payable with interest at the rate of 1.50% over one year MCLR (8.15% p.a.) i.e. 9.65% per annum with Monthly Rests, but also sanctioned a Working Capital Term Loan (DL-WCTL) (Fresh) Limit of Rs.4,43,177/ (A/c No 71550600000515) by way of Restructure under MSME with One Time Restructure Scheme payable with interest at the rate of 0.50% over one year MCLR (8.15% р.а.) without Strategic Premium (SP) i.e. 8.65% per annum with Monthly Rests.

The Applicant further submits that as per Sanction dated 31.03.2020, the said Working Capital Term Loan (WCTL) (Fresh) Limit viz. Conversion of Irregular Portion of Cash Credit Limit of Rs.4,43,177/ is repayable in 24 monthly installments of payment at Rs. NIL from 1^st Month to 6^th Month and Rs.14,800/ each from 7^th Month to 35^th Month and at Rs. 13,977/- for the 36^th Month with an initial Moratorium Period of 12 Months from the date of implementation of restructure (i.e. from disbursement date)

The Applicant submit that as per Sanction dated 31.03.2020 a Funded Interest Term Loan (OTR -FITL) Limit of Rs.2,85,808/- (A/c No 71550600000514) by way of Conversion of Over Due Interest was also sanctioned with interest at the rate of One Year MCLR without spread at 8.15% per annum with Monthly Rests.

It is submitted that as per Sanction dated 31.03.2020, the said Funded Interest Term Loan (OTR-FITL) Limit viz. Conversion of Over Due Interest of Rs.2,85,808/- is repayable in 24 monthly installments of payment at Rs. NIL from 1^st Month to 6^th Month and Rs. 9,600/- each from 7^th Month to 35^th Month and at Rs.7,408/ for the 36^th Month with an initial Moratorium Period of 12 Months from the date of implementation of restructure (i.e. from disbursement date)

The Applicant submit that to secure the said Limits of Rs. 99,00,000/-, Rs.4,43,177/ and Rs.2,85,808/, the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein has executed the following security loan documents on 31.03.2020 in favour of the Applicant viz.

a) A Demand Promissory Note executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein jointly and severally on 31.03.2020 for a sum of Rs.1,06,29,000/(Rupees One Crore Six Lakhs Twenty Nine Thousand only) being the total sum of Rs.99,00,000/- by way of Cash Credit Limit, Rs.4,43,177/- (Rounded Off at Rs.4,43,000/-) by way of WCTL and

Rs.2,85,808/- (Rounded Off at Rs.2,86,000/-), by way of FITL aggregating Rs.1,06,29,000/- for the value received with interest thereon at the Rate of 9.65% p.a. for Cash Credit Limit, 8.65% p.a. for WCTL and 8.15% p.a. for FITL with monthly rests in favour of the Applicant.

b) Letter of Continuing Security executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 31.03.2020 for a sum of Rs.99,00,000/- in favour of the Applicant.

c) Letter of Partnership executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 31.03.2020 for a sum of Rs.99,00,000/- in favour of the Applicant.

d) Loan cum Hypothecation Agreement executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 31.03.2020 for a sum of Rs.99,00,000/- in favour of the Applicant duly hypothecating the Stocks of Paints and Book Debts pertaining the 1^st Defendant's working place at Old No 70, New No 169, Mannarsamy Koil Street, Royapuram Chennai - 600 013.

e) Declaration cum Undertaking cum Authority executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 31.03.2020 in favour of the Applicant for a sum of Rs.99,00,000/-

f) General Form of Guarantee executed by the Defendants 2 and 3 as guarantors in their personal and individual capacities on 31.03.2020 in favour of the Applicant duly guaranteeing the repayment of the

total limits of Rs.1,06,29,000/- availed by the 1^st Defendant Firm.

The Applicant submit that under the Bank’s Scheme called Baroda Covid Emergency Credit Line (BCECL) (A/c. No.71550600000521) at the request of the 1^st Defendant Firm represented by its Partners, the Applicant vide a Letter of Sanction dated 29.05.2020 sanctioned a Demand Loan of Rs.9,90,000/- to meet the Working Capital Requirements towards payment of Factory Rent, Staff Salary, EB BILL, Raw Materials Purchase etc. with a Loan Tenor of 24 months (Door to Door Tenor subject to annual review). The Applicant submit that the 1^st Defendant Firm represented by its Partners accepted the terms and conditions of the said sanction in writing under their signatures.

It is submitted that in order to secure the said Limit of Rs.9,90,000/-, the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein has executed the following security loan documents on 29.05.2020 in favour of the Applicant viz.

a) Demand Promissory Note executed by the 1^st Defendant Represented by its Partners viz. the Defendants 2 and 3 herein jointly and severally on 29.05.2020 for a sum of Rs.9,90,000/(Rupees Nine Lakhs Ninety Thousand only) in favour of the Applicant for the value received with interest thereon at the rate of 6.85% per annum, which is a sum of RBI Repo Rate 4.00 per annum (at present), Mark up of 2.85% per annum (at present), Strategic Premium of 0.00% per annum (at present), Credit Spread

of 0.00% per annum (at present) and Risk Premium of 0.00% per annum (at present) the interest shall be payable on Monthly Rests and the Bank shall be entitled to reset the interest rate (including any one of its components as mentioned above) on monthly basis.

b) Letter of Instalment executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 29.05.2020 for a sum of Rs.9,90,000/ agreeing to repay the said sum in 18 Monthly Instalments of Rs.50,000/- per month with interest after a Moratorium of 6 months from the date of disbursement and the first of such monthly instalment to commence from 25.11.2020.

c) Instrument of Hypothecation of Book Debts executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 29.05.2020 for a sum of Rs.9,90,000/- duly charging over the Book Debts of the Turn Over pertaining the 1^st Defendant's working place at No 11, North Terminus Road, Chennai - 600 081.

d) Declaration cum Undertaking cum Authority executed by the 1^st Defendant represented by its Partners viz. the Defendants 2 and 3 herein on 29.05.2020 for a sum of Rs.9,90,000/- in favour of the Applicant.

e) General Form of Guarantee executed by the Defendants 2 and 3 as guarantors in their personal and individual capacities on 29.05.2020 in favour of the Applicant duly guaranteeing the repayment of the said limit of Rs.9,90,000/- availed by the 1^st Defendant Firm.

The Applicant submit that the Integrated CFS & Sell, Corporate & Institutional Credit Department Baroda Corporate Centre Mumbai-400 051 vide Circular dated 14.09.2020 instructed to all Bank of Baroda Branches about the operational guidelines of the Covid-19 Regulatory Package for Accounts under Moratorium during the period between 01.03.2020 to 31.08.2020. Accordingly for the Cash Credit Hypothecation Limit (Renewal) dated 31.03.2020, the interest accrued for the periods from 01.03.2020 to 31.08.2020 was arrived at Rs.4,56,000/- as on 01.09.2020 and the same was termed as Term Loan and 1^st Defendant represented by its Partners viz. Defendants 2 and 3 availed the same as per the Statement of Accounts (A/c No 052557031028 - New No.71550600000423)). The sum availed has no documentation but Statement of Accounts only and a sum of Rs.33,317/- is repayable as of 31.03.2021.

The Applicant submit that the 1^st Defendant represented by its Partners viz. Defendants 2 and 3 has failed to operate all five the loan accounts as agreed to and committed default. The 1^st Defendant represented by its Partners viz. Defendants 2 and 3 has not chosen to regularize all the five loan accounts in spite of several repeated demands made by the Applicant. The Applicant has finally issued Recall Notices to the Defendants on 22.03.2021. The Applicant submit that the 1^st Defendant has chosen to issue a Reply dated 23.03.2021 under their E- Mail by way of E - Mail to the Chief Manager Credit MSME & Retail Bank of

Baroda Corporate Office, Mumbai with a copy addressed to the Applicant. Though the 1^st Defendant admitted its liability, the demands stated in the Reply E-Mail Notice has been already rejected by the Bank. The Defendants are bound to settle the claim.

The Applicant submit that hence all the five loan accounts have been declared/Classified as Non Performing Asset (NPA) as on 31.03.2021 in accordance with RBI guidelines. Despite repeated requests and demands, as defendants did not come forward to repay the dues, the present Original Application (OA) has been filed by the applicant bank for recovery of its dues from the defendants.

After the filing of the OA, summons were sent to Defendants 1 to 3 through Registered Post with Acknowledgment Due, which returned unserved with postal endorsement ‘Left’ in respect of D-1, while summons to D-2 and D-3 returned with the remarks ‘No such person’. Applicant bank had caused paper publication of the notice and filed proof thereof. When OA was taken up on 28.07.2022 even after giving sufficient time, there was no appearance or representation from the defendants. Hence, defendants 1 to 3 were placed ex-parte on 28.07.2022.

of documents came to be marked as Ex A-1 to A-30 . As the defendants remained ex-parte, the OA claim remains unchallenged. There is no contra evidence available on record to repudiate the claim of the Applicant Bank.

With regard to the amount advanced, the interest applied, the conduct and operations in the account and the default committed, this Tribunal comes to the conclusion that the applicant bank is entitled for a final order on the following terms:
