referred to as^othe Act'- praying to set aside the sale notice dated ll-05.2023. The applicant is none other than the borrower of a financial assistance availed from the l't defendant bank.

The case set out by the applicant in the SA in brief is as follows:- The applicant is not in receipt of any notice under S.l3(2), 13(4) or sale notice in respect of the schedule immovable property. The sale notice dated 11.05.2023 is neither issued to the applicant nor was it affixed in the schedule immovable^property. No valuation of the property was taken and the reserve price was fixed undervaluing the property. The security interest created over the secured asset is not registered with the Central Registry. On the above contentions, the applicant prayed to set aside the sale notice dated 11.,05.2023.

The 1't defendant filed a statement of objection refuting the^prayer sought for and contending as follows:- The applicant filed SA 46812014 challenging^the possession notice. However, the same was dismissed vide final order dated 04.12.2014. The charge created by the applicant by way of equitable^mortgage on^{16.09.2010was} registered on 08.ll.2012 with the Central Registry. The bank has^{obtainedvaluation from} the approved valuer as per the valuation report dated 02.08.2022. The^{sale notice dated} 11.05.2023 was issued to the applicant by registered^post on 11.05.2023, which^was retumed un-served with the postal endorsement 'left'. The said notice^{was affixed in the} premises of the secured asset and was also published in two daily newspapers, namely, the New Indian Express in English and the Kannada Prabha in^Kannada on^13.05.2023. The sale was fixed on2I.06.2023. On the above statements, the l't defendant^{prayed to} dismiss the SA.

The 2'd defendant filed statement of objection standing in^{the mouth and} in tune with the contentions of the ltt defendant and^{submittingas follows:-This} defendant has quoted the highest offer^and the^{sale was declaredin favour of this} *":

defendant. 25Yo of the sale^{price was remitted on the same day and the remaining 75o/oof} the sale price was deposited^{within15 days frorn the date of sale. Thereaftersale} certificate was issued on^{13.07.2023 and the samewas got registered. On the above} contentions, the^2nd defendant^{prayed for dismissalof the SA.}

The applicant produced three^{documentsalong with the SA. For} convenience, they are^{referredto as Annexures Al to .{3. Similarly,the l't defendant} produced seven documents along^{with the statementof objection, which are for} convenience referred^{to as Annexures Bl to 87. The 2''d defendantdid not produceany} document in evidence^{in support of his contentions.}

On appreciation of the rival^{contentions, the onlyissue arises for} consideration is as to^{whether the applicant is entitled to the reliefprayed for?}

The Issue:- This Tribunal^{wouldlike to make a passiveremark that the} authorised officer who^{issuedAnnexure A1 sale noticedated 11.05.2023 on behalfof the} 1't defendant bank should^{have been madea party in the causetitle to the SA. The right to} sue accrues under S.17(l)^{of the Act to any person (including borrower)if he is aggrieved} by any of the measures^{referred to in sub-section(a) of S.13 of the Act taken by the} secured creditor or his^{authorisedofficer under the Act. The securedcreditor is a creditor} holding security the realisation^{of which wouldsatisfy his claim. S.13(12)of the Act says} that the right of the^{securedcreditor can be exercised by one or lnore of his officers} autJrorised in the manner^{as may be prescribed. 'Authorised officer' under R.2(a) is an} officer of the secured^{creditor who is competent to exercise the rightsof the secured} creditor and also right^{of the creditor secured under the Act and to exercisepower in} respect and also any^{other right of the secured creditor conferred under the Act. In the} instant case, the 1't defendant^{securedcreditor being a banking company, it can only be} represented by its^{principalofficer. On the showingof the applicantitself, she is} by Annexure Al^{action taken by the authorisedofflcer on behalf of the said} :t:_rt*.d

banking company, who does not have an independent status without the existence of the secured creditor. Therefore, in the opinion of the Tribunal, the authorised officer of the I't defendant secured creditor banking company also should have been made a party in the cause title along with the secured creditor, though said to be represented.

According to the applicant, she is not in receipt of any notice under , S.13(2), 13(4) or sale notice in respect of the schedule immovable property. However, the I't defendant submitted that the applicant had filed SA 468/2014 challenging the possession notice and the same was dismissed vide final order dated 04.12.2014. Annexure Bl is a copy of the final order dated 04.12.2014 passed by this Tribunal in SA 46812014. A perusal of the same shows that the applicants^(wherein the applicant in the present SA was the 3'd applicant) challenged the possession r-rotice dated 20.03.2014 issued by the authorised officer of the l't defendant bank in respect of the schedule immovable property on the ground among others that the bank had not issued any^prior notice in regard to issuance of the possession notice. The l't defendant bank resisted the relief sought for in SA 468/2014 by submitting that it had issued demand notice dated 19.12.2013 by registered post, which was also published in the New^{IndianExpress and} the Kannada Prabha dailies dated 10.01.2014. Thereafter, it issued^{possession notice} dated 20.03.2014, which also was published in the aforesaid dailies^{dated 23.03.2014.} The Tribunal after examining the. facts and circumstances of the^{case and evidences} adduced by both sides dismissed the same as per final^{order dated 04.12.2014. The} operative portion of the aforesaid order^{reads as belorv:-}

"ln this regard, it is relevant to note that demand nolice is given and possession notice is given. Loan in question is of 2010. Since^{last 4 years, suficienl opportunitieshqvebeengiven by respondent bank} to the appellonts. Therefore, allegations^{of theappellants that no noticeis given and opportunities are not} given to the appellants by the respondent^bank cannot^{be accepled.}

It is also relevant to note that rightfrom^{2010 respondentbank hqs given suJficient opportunities,} but same have nol been utilised^{by appellonts.For their inexperienceor diversion of} funds^or mismanagement or negligence or wilful^{default, appellants cannot allributeallegations against respondent} bank. The said allegations and^{grounds do not have anylegaland} facttral foundation,^{hence,cannotbe} accepted. Therefore, it is to be held^{that, the present appellantshave} J'ailed^{to establish that the} proceedings initiated by respondent bankunder the^{SARFAESIAct and the impugned possessionnotice are}

This fact was not disputed by the applicant^{at the tirne of hearing.In fact,} thiS matter was within the^{knowledge of the applicant at the time of filing SA 32712023} on 24.07.2023. Conspicuously,^{the materialfact was suppressed by the applicant. The} final order dated 04.12.2014 in SA^{46812014 has becomeabsolute and final.The} applicant has no case that^{the samehad been challer-rged in appeal. Supressing all these} facts, the applicant has contended^{beforethis Tribunal thatshe had not received any} notice under S.13(2) or S.13(4)^{of the Act, which is only revival of the contention already} made in SA 468/2014. Such^{contentions have alreadybeenmergedin the aforesaid final} order and cannot be re-agitated^{in the presentSA filed againstthe successive measure} taken by the l't defendant^{bank in respect of the scheduleimmovable property.In the} above circumstances, such contentions^{do not deserveany attention in this final order.}

It is also the contention^{of the applicantthat the salenotice dated}

11.05.2023 was neither^{issued to her nor was it afllxed in the schedule immovable} property. The I't defendant bank^{has replied that tlie salenotice dated11.05.2023was} issued to the applicant by^{registeredpost on 11.05.2023,which was returned un-served} with the postal endorsement 'left'^{and the same was affixedin the premises of the} secured asset and was also^{published in two dailynewspapers, namely,the New Indian} Express in English and^{the Kannada Prabha in Kannadaon 13.05.2023 whereas the sale} was fixed on21.06.2023.

If the borrower^{fails to dischargehis liability in full within the periodas} specified in sub-section^{(2) of S.l3 of the Act,the secured creditoris entitled to take} recourse to one ormore^{of the measures includingsale of the securedasset as specifiedin} sub-section^(a) of^{S.13 of the Act to recover his secured debt. Once possession of the} secured asset is^{taken, the authorised officer or the securedcreditor has to follow the} guidelines as prescribed under^Rr.8 &^{9 of the Security Interest (Enfbrcement)Rules'} ar^{amendedfrom time to time)} -^{for short 'the Rules' - in sale of immovable} :::,

secured assets. The relevant^{provisionscommence ti'orn sub-rule(5) of R.8 of the Rules.}

The relevant provisions read^as below:-

"(5) Before fficting sale of the intmovable^{property referredto in sub-rule (l) of rule 9, the} auf horised offcer shall^{obtainvaluation of the property} from^{an approved valuer and in consultation with} the secured creditor, Jix^{the reservepriceof the property and may sell the wholeor any part of such} immovable secured^{assetby any of the} following^methods:-

(q) by obtaining quotations from^{the personsdealing withsimilar securedassets or otherwise} interested in buying the^{suchassets;or}

(b) by inviting tendersfrom the^public;

(d) by private treatY:

PROVIDED thar in case^{of sale of immovablepropertyin the Slate of Jammu and Kashmir,} the provisions of Jammu^{and KashmirTransferof PropertyAcL 1977shallapplyto the person who} acquires such property^{in the State.}

(6) The authorised officer shall serve to the^{borrowera noticeof thirty days} for^{sale of the} immovable secured assets,^{undersub'rule (5):}

, PROVIDED that if the^{sale of suchsecured asset is being} fficted^{by either invitingtenders} from -given^{the public or by holdingpublic auction,the securedcreditorsshallcausea public noticein theJbrm} in Appendix IV-A to be^{published in two leadingnewspapersincludingone in vernacularlanguage} having wide circulation in lhe^locality.

(7) Every norice of sale shall be affixed^{on the conspicuouspart of the imnovablepropertyand} the author.ised officer shall^{upload the detailed terms and conditions of the sale, on the web-siteof the} secured credilor,^{which shall include'}

(a) the description of the immovable^properly to^{be sold,includinglhe details of the} encumbrances known^{lo the securedcreditor;}

(b) the secured debtfor recovery ofwhich^{the property is to be sold;}

(d) time and place of public auction or^{the time alierwhich sale by any other mode shallbe} completed;

(e) deposit ofearnest money as may^{be stipulatedby thesecuredcreditor;}

(/) any other terms and conditions,^{which the authorised officer considersit necessary} for^a purphaser to know the nature and^{valueofthe property.}

(8) Sale by any method other than^public auction^{or publictender,shall be on such termsas may} be settled between the^{securedcreditor andthe proposedpurchaserin writing.} g. Time of sale, issue of sale^{certificateand delivery of possession,etc'}

(l) No sale of immovable property under^{theserules,in.first inslance shall take place before the} expiry of thirty doysfrom^{the rlateonwhichthe public notice oJ'sale is pttblishedin newspapersas referred} to- in the proviso to sub-rule^{(6) or rule 8 or notice ofsale has beenservedto the borrower:}

pROVIDED F1RTHER thot if sale of immovable property by ony one of the methods specified by sub-rule⁽⁵⁾ of rule⁸ fails^{and saleis requiredto beconducted again, the authorisedo/ficer shall serve,} affix and pubiish notiie^{of sale of not lessthan} fifteen^{days to theborrower, Jbr any subsequent sale.}

(2) The sale shall be confirmed in favour^{of the purchuser who hasofferedthe highest sale price} in his bid or tender or^{quotqtion or} ffir^{to the authorised} fficer^{and shallbe ubiectto confirmationby} the secured creditor:

7ROqIDED that no sale under^{this rule shall be con/irmed,if the amount} ffired^{by sale priceis} less than the reserve^{price,specified undersub-rule (5) of rule 8;}

(3) On every sale of immovable properly, the purchaser shall immecliately, i.e on the same day or not later than next working day, as the case may be, pay a deposit of twenty-five pet' cent of the amount of the sale price, which is inclusive of earnest money deposited, if any, to the authorised officer conducting the sale and in default of such deposit, the property shall be sold again.

(4) The balance^qmount of purchase price payable shall be paid by the purchaser to the authorised fficer on or before thefifteenth doy of confirmation of sale of the immovable property or such extended period as may be agreed upon in writing belween the purchaser ancl the secured credilor, in any case not exceeding three months

O^{ln default of payment withinthe periodmentioned} in^sub-rule(4), the deposit shall be forfeited^{to the secured creditorand the properly shall be resoltl and the defaulting purchaser} shall forfeit all claims to the property or to^qny part of the sumfor^yvhich it may be subseqttenrb, sold.

(6) On confirmation of sale by the secured creditor and if the terms oJ payment hwe been complied with, the authorised oficer exercising the pov,er of sale shall isstrc a cerlificate of sale of the immovable property infavour of the purchaser in theform given in Appendix V to !hese rules.

(7) Where the immovable property sold is sttbject to ony encumbrances, the authot ised fficer may, tf he thinks fit, allow the purchaser to deposit with him the money required to discharge the encumbrances and any inlerest due thereon together with such^qdditional qmount thut ntoy be strfficient to meet the contingencies orfurther cost, expenses and interest os ntcty be determined by hitn:

PROVIDED that if after meeting the cost of removing encumbrances and contingencies there is any surplus available out of lhe money deposited by the purchaser such surpltts shqll be paid to the purchaser within fifteen days from the date o finalisation of the sale.

' (8) On such deposit of money for discharge of the encttntbrances, the authorised officer shall issue or cause the purchaser to issue notices lo the person interested in or entitled to the money deposited wilh him and take steps to make the payment accordingly.

(9) The authorised fficer shall deliver the property to the purchaser free from encumbrances known to the secured creditor on deposit of money as specified in .sub-rule (7) above.

(10) The cerlificate of sale issued under sub-rule (6) shall speciJically mentiotl that whether the purchaser has purchased the immovable secured asset Jiee li'om any encuntbrances known to the secured creditor or nol."

Annexure 85 is a copy of the sale notice dated I1.05.2023 issued by the

authorised officer of the I't defendant bank in respect of the schedule immovable property fixing the date of sale on21.06.2023 as against a reserve price of tl00 lakhs. The photocopies of the postal receipts appended thereto l shows that the said notice had been sent to the applicant by registered post or1 11.05.2023. The postal envelope containing Annexure 85 notice sent to the applicant by registered post on 11.05.2023 under consignment number 'RK7977647621N' was returned un-served with the postal endorsement 'left' as could be inferred fror-n the photocopy of the postal envelope appended to Annexure 85. Annexure 86 is a copy of the photograph which shows that Annexure 85 notice was affixed at a conspicuous part of the property. Annexure 87 is a photocopy of the extract of the publication of Amexure 85 made in the New Indian Express and the Kannada Prabha dailies dated 13.05.2023. Therefbre, there is no

substance in the contention raised by the applicant tliat the sale notice was not issued to her and the same was not affixed in the property. However, it was desirable for a leading schedule bank like the l't defendant bank to produce the originals of the postal receipts, postal cover, photograph, report of affixture, dailies etc before this Tribunal instead of producing piecemeal evidences.

Yet another contention raised by the applicant was that no valuation of the property was taken and the reserve price was fixed ur-rdervaluir-rg the property. The l't defendant bank replied that it had obtained valuation from the approved valuer as per the valuation report dated 02.08.2022. Annexure B3 is a copy of the valuation report dated 02.08.2022 obtained by the 1't defendant bank from Er G Gopal, Chartered Engineer and approved and registered valuer in respect of the schedule immovable property wherein he has reported the market value of the property at {96 lakhs; realisable value at {85 lakhs and the forced sale value at {76.80 lakhs. The reserve price fixed in Annexure 85 sale notice was {100 lakhs and the properly was reportedly sold for <1,00,25,000/-. In the above circumstances, it cannot be said that no valuation of the schedule immovable property was taken and that the reserve price was fixed undervaluing the property. Mere making a contention that the reserve price of tlie propelty was not sufl-rcient is not enough to challenge the sale notice. Except vaguely contending so, the applicant has not furnished any details to show that the property may fetch a higher value. She could have brought a probable purchaser for a higher value. That also was not done by her. The feebleness in the contention raised itself show that the applicant is not strong in her contention. In the above facts and circumstances of the case and on the evidence adduced by the 1't defendant bank, this Tribunal is not inclined to accept the aforesaid contention raised by the applicant regarding the reserve price fixed by the authorised officer of the I't defendant bank in respect of the schedule immovable properly in Annexure B5 sale notice.

Lastly, it was also contended by the applicant that the security interest created over the secured asset is not registered witli the Central Registry and, therefore, the l't defendant bank is not entitled to enforce its security interest over the schedule immovable property. According to the 1't defendant bank, the charge created by the applicant by way of equitable mortgage on 16.09.2010 was registered on 08.11.2012 with the Central Registry.

Annexure 82 is a copy of the asset id based search report generated on 24.07 .2023 from the web site of CERSAI in respect of the schedule immovable property, which shows that security interest by way of equitable mortgage was created by the applicant on16.09.2010 in favour of the I't defendaut bank as collateral security for due repayment of the loans availed by IWs K K Industries and the same was registered by the 1'tdefendant bank with CERSAI on 08.1l.2Ol2. The clemand notice under S.13(2) of the Act in respect of the schedule immovable property was issued by the authorised officer of the I't defendant bank only on I 9. 12.2013.It may be noted in this regard that the Central Government vide the Enforcement of Security Interest and Recovery of Debts Laws and Miscellaneous Provisions (Amdt) Act, 2016 rlw the notification No.SO 4619(E) dated 26.12.2019 inserted Chapter IV A [Registration by secured creditors and other creditors - Ss.26B to 26El applicable with effect from 24.01 .2020 only whereas the I't defendant bank had commenced its proceedings under the Act by issuing a demand notice as early as pn 19.12.2013 itself. Indubitably, there is a morlgage created over the secured asset under the provisions of the Transfer of Properties Act, 1882. Therefore, the CERSAI registration cannot be made mandatory to the facts of this case even if it had not been registered with CERSAI. Therefore, looking at any angle, the contention regarding registration of the security interest is not sustainable in law.

In the above circumstances and in vierv of the discussions as above, it is that the applicant is not aggrieved by the recourse and measures taken by the :":ra

authorised officer of the l't defendant bank under sub-section^(a) of S.l3 of^the Actⁱⁿ issuing Annexure 85 sale notice dated 11.05.2023 in respect of the schedule^immovable property. The SA is liable to be dismissed as devoid of any merit, and, therefore, notwithstanding anything contained in any other law^{for the time being in force,the} authorised officer of the I't defendant bank is entitled to continue^{with further} proceedings pursuant to Annexure 85 sale notice dated^11.05.2023.

In the result, IA Nos.l50ll2023 and^{158812023are closedandSA} 32712023 is dismissed. The authorised^{officer of tlie I't defendaut bank,notwithstanding} anything to the contrary containedⁱⁿ any^{other law for the time being in force,is} permitted to continue with the further^{proceedings in pursuant to AnnextrreB5 (Annexure} Al) sale notice dated 11.05.2023.^{The parties shall suffertheir respectivecosts.}
