SUMMARY UNDER REGULATION 13 (2) OF THE COMPETITION COMMISSION OF INDIA (COMBINATIONS), REGULATIONS, 2024

I. Parties to the Proposed Transaction

- The parties to the Proposed Transaction ( defined below ) are—

- (a) Hornbill Tech Investments Limited ( Acquirer )
¶5
- (b) Finnovation Tech Solutions Private Limited ( FTSPL ); and
¶6
- (c) KrazyBee Services Limited ( KrazyBee ).

- FTSPL and KrazyBee are together referred to as Targets . The Acquirer and Target are together referred to as the Parties .

II. Nature and purpose of the Proposed Transaction

- The present notification form is filed in relation to an acquisition of certain shareholding in the Targets by the Acquirer ( Proposed Transaction ).

- The Proposed Transaction is notifiable under under Section 6(4) of the Competition Act, 2002 ( as amended ) read with Rule 3 of the Competition (Criteria of Combination) Rules, 2024 and Regulation 5(5) of the Competition Commission of India (Combinations) Regulations, 2024.
