A. Name of the parties to the combination
- The parties to the proposed transaction are:
- (a) Dixon Technologies (India) Limited (“ DTIL/Acquirer ”); and
- (b) Kunshan Q Tech Microelectronics (India) Private Limited (“ Q Tech India/Target ”).
The Acquirer and the Target are collectively referred to as the “ Parties ”.
B. Nature and purpose of the combination
- The “ Proposed Transaction ” involves DTIL’s acquisition of an aggregate 51% of the paid-up share capital of the Target by way of a share purchase from existing shareholder of the Target and share subscription of shares issued by the Target.
