A. Parties to the Proposed Combination

- The parties to the Proposed Combination are:

- (a) NHIT Southern Projects Private Limited (“ Acquirer ”); and

- (b) Concession rights over 11 road projects owned by the National Highways Authority of India (“ NHAI ”) namely, Muzaffarnagar – Haridwar; Bareilly – Sitapur; Gundugolanu – Devarapalli – Kovvuru; Narsannapeta – Ranasthalam; Ranasthalam to Hanumanthavaka; Anandapuram – Pendurthi – Anakapalle; Chittoor – Mallavaram; AP/TN Border – Nalagampalli, AP/ Karnataka Border; Raipur – Simga; Simga – Bilaspur; Gandhidham (Kandla) – Mundra Port (collectively, “ Target Assets ”).

- The Acquirer and Target Assets are collectively referred to as “ Parties ”.

B. Proposed Combination

- The Acquirer proposes to acquire concession rights from NHAI in respect of the Target Assets under the Toll-Operate-Transfer (“ TOT ”) model for a concession period of 20 years (“ Proposed Combination ”).
