- (ii) Fujitsu General Limited ( Fujitsu/ Target )

- The Acquirer and Target are collectively referred to as the Parties .

(b) Nature and purpose of the combination

- The proposed transaction relates to Paloma Rheem’s acquisition of the entire shareholding of Fujitsu ( Proposed Transaction ).

- The Proposed Transaction will enable Paloma Rheem to realize longterm growth and development opportunities.
