A. Name of the parties to the combination

- The parties to the combination are—

- (i) Robert Bosch GmbH ( Bosch );

- (ii) Johnson Controls International plc ( JCI ); and
¶6
- (iii) Johnson Controls-Hitachi Air Conditioning Holding (UK) Limited ( JCH ) .

- Bosch, JCI and JCH are collectively referred to as the Parties .

B. Nature and purpose of the Combination

- The proposed transaction relates to Bosch’s proposed acquisition of sole control over JCI’s residential and light commercial heating, ventilation and air-conditioning ( HVAC ) business, including JCH, a joint venture between JCI and Hitachi Limited ( Proposed Transaction ). The residential and light commercial HVAC business of JCI, including JCH, is together referred to as the Target Business .
