- The Parties to the combination are:

- a. Kingsman Wealth Fund PCC – Aurisse Special Opportunities Fund (“ Acquirer ”);

- b. Mudhra Lifesciences Private Limited (“ Target ”)

- Acquirer and the Target are collectively referred to as the “ Parties ”.

- B. Nature and purpose of the combination

- Acquirer proposes to subscribe to certain securities of the Target, the proceeds of which investment will be utilised by the Target towards the proposed acquisition of Tianish Laboratories Private Limited by Matrix Pharma Private Limited, a step-down subsidiary of the Target (“ Proposed Transaction ”).
