- (a) Applied Materials South East Asia Pte. Ltd. (“ Acquirer ”); and
- (b) VVDN Technologies Private Limited (“ Target ”).
(The Acquirer and the Target are collectively referred to as the “ Parties ”)

Nature of the Proposed Transaction
- The proposed combination contemplates the acquisition of minority equity stake in the Target by the Acquirer through primary and secondary transactions (“ Proposed Transaction ”).
