A. Name of the parties to the combination

- The parties to the combination are

- (a) AZK4 LLC (“ Acquirer ”); and
¶7
- (b) Zetwerk Manufacturing Businesses Private Limited (“ Target ”).

- The Acquirer and the Target are collectively referred to as “ Parties ”.

B. Nature and purpose of the combination

- Through the proposed transaction, the Acquirer shall subscribe to and purchase approx. 2.96% of the Target’s shareholding through a combination of primary and secondary transactions.

- The Proposed Combination is in the nature of an acquisition within the meaning of Section 5(a)(1)(A) and is notifiable to the Hon’ble Commission under Section 6(2) of the Competition Act, 2002 (as amended) (“ Act” ).
