- a. Platinum Jasmine A 2018 Trust (acting through its trustee, Platinum Owl C 2018 RSC Limited) ( Platinum )

- b. TPG Upswing Ltd. ( TPG ) ( collectively , Acquirers )

- c. UPL Sustainable Agri Solutions Limited ( UPL SAS / Target )

- The Acquirers and the Target are collectively referred to as the Parties .

B. Nature and purpose of the combination

- The proposed combination relates to the proposed acquisition of certain shareholding of UPL SAS by the Acquirers ( Proposed Combination / UPL Acquisition ). The Acquirers will make the UPL Acquisition through the Upswing Trust (acting by its trustee, Upswing Trustee Company Limited) ( Investor Entity ).
