A. Name of the parties to the combination
- The names of the parties to the combination are:
- (a) Bharat Biotech International Limited ( Acquirer )
- (b) Eastman Exports Global Clothing Pvt. Limited ( Target Company )
The Acquirer and the Targets are collectively referred to as the “Parties” and individually referred to as “Party”.
B. Nature and purpose of the combination
- The proposed combination relates to the acquisition of shares of Eastman Exports Global Clothing Pvt. Limited by Bharat Biotech International Limited being implemented by way of the share subscription agreement, share purchase agreement ( Proposed Combination ). The Proposed Combination is pursued purely from an investment perspective.
- The Proposed Combination exceeds the thresholds prescribed by way of the ‘Parties Test’ under Section 5(a)(i)(A) of the Competition Act, 2002. Accordingly, the Proposed Transaction is notifiable to the Hon’ble Commission under Section 6(2) of the Act.
