- (i) 2452991 Ontario Limited (“ Acquirer ”); and

- (ii) Mahindra Susten Private Limited (“ Target ”).

The Acquirer and the Target are collectively referred to as the “ Parties ”.

- B. Nature and purpose of the combination

- The Target is a wholly owned subsidiary of Mahindra Holdings Limited (“ MHL ”).
