A. Name of the parties to the proposed transaction

- The name of the parties to the proposed transaction are:

- a. Scintia Vermögensverwaltungs GmbH ( Scintia ), and

- b. Trivium Vermögensverwaltungs GmbH ( Trivium )

- Scintia and Trivium are collectively referred to as the Parties and individually as Party .

B. The nature and purpose of the proposed transaction

- The proposed transaction contemplates the restructuring of the Group’s operational control structure that would, in particular, result in a change from joint control over Beiersdorf AG ( Beiersdorf ) and the TCHIBO Group (TCHIBO AnlagenVerwaltungsgesellschaft mbH, and TCHIBO GmbH (collectively referred to as TCHIBO ))1 by Scintia and Trivium, to sole control by Scintia over Beiersdorf and sole control by Trivium over TCHIBO, respectively. The proposed restructuring is referred to as the Proposed Transaction.
