- The parties to the combination are—

- a. CA Magnum Holdings ( Acquirer ); and

- b. Hexaware Technologies Limited ( Target ).

- The Acquirer and the Target are collectively referred to as the Parties .

- II. Nature and purpose of the Combination

- The proposed transaction relates to the acquisition of majority shareholding in the Target by the Acquirer from HT Global IT Solutions Holdings Limited ( Seller ) by way of a Share Purchase Agreement dated 20 August 2021 ( Proposed Transaction ) .
