- G4S and Allied Universal are collectively referred to as Parties .

B. Nature and purpose of the combination

- On December 8, 2020, Allied Universal announced its firm intention to acquire the entire issued and to be issued share capital of G4S, through Atlas UK Bidco Limited ( Bidco ), a newly incorporated entity that is indirectly controlled by Allied Universal, pursuant to Rule 2.7 of the City Code on Takeovers and Mergers ( Proposed Combination ).

- The Proposed Combination is in the nature of an acquisition of shares and is notifiable as it meets the jurisdictional thresholds set out under Section 5(a)(i)(B) of the Competition Act, 2002.
