A. Parties to the Proposed Combination
- The Parties to the Proposed Combination are:
- i. Northern TK Venture Pte. Ltd. (“ Acquirer ”);
- ii. Fortis Healthcare Limited (“ FHL ”); and
- iii. Fortis Malar Hospitals Limited (“ FMHL ”)
B. Type of the Proposed Combination
- The Proposed Combination is structured as an acquisition of shares of FHL and FMHL by Northern TK Venture Pte Ltd (“ Acquirer ”), which is a wholly owned subsidiary of IHH Healthcare Berhad (“ IHH ”). The Share Subscription Agreement in respect of the contemplated transaction has been entered into on 13 July 2018.
