- The parties to the combination are:

- (a) China National Agrochemical Corporation: Acquirer ; (b) Syngenta AG: Target.

B. Type of the Combination

- The proposed transaction involves the acquisition of the shares and control of the Target (“ Proposed Transaction ”), being implemented by the Acquirer either directly or through a designated directly or indirectly controlled subsidiary.

- The Proposed Transaction amounts to a combination in terms of Section 5 (a) (i) (B) of the Competition Act, 2002.
