The Plaintiff had filed the present Suit for infringement and passing off against the Defendant for use of the impugned mark “IamAgeless”. By order dated 17th January2022, 23rd February 2022 and 27th April 2022, the Defendant was restrained from using the impugned mark as more particularly set out in the said orders.

2. The parties have agreed to settle the disputes amicably in view of the Defendant’s Affidavit dated 10th June 2022, a copy whereof is annexed and marked as E xh ib it A and hence, the parties are accordingly filing the present consent terms in the matter.

The Defendant accepts and acknowledges the right, title and interest of the Plaintiff sin its “AgeLess” trademarks, details and particulars of which are given in paragraph 4 o f the Plaint.

The Defendants hereby submits to the decree in terms o f prayer Clauses (a), (b), (e)(ii), e(iii) of the Plaint. Accordingly, decree on admission interms of prayer Clauses (a), (b), (e)(ii), e(iii) of the Plaint, which are reproduced herein below:

a) That Defendant by itself, its servants, agents, representatives and/or all other persons claiming through or under or controlled by it, be restrained by a temporary order and injunction o f this H on’ble Court, from using, in any manner/form, directly or indirectly in relation to any o f its services, the Impugned marks or any other mark, trade name, domain name containing the word “A G E LE SS” together or by itself or with any other word or device and/or any other mark containing the impugned mark as shown in Exhibit ‘G. ‘G l\ (G V & ‘G3’ and/or the word “A G E L E SS” by itself or in combination with any other word or device and/or deceptively similar words written in a stylized manner or in any manner which is identical with and/or deceptively similar to all the Applicant’s registered trademarks bearing no. 1663946 so as to infringe the Applicant’s said registeredtrademarks;

b) That the Defendant by itself, its servants, agents, representatives and/or all other persons claiming through or under or controlled

by it, be restrained by a temporary order and injunction o f this H on’ble Court, from using, in any manner/form, directly or indirectly in relation to any o f its services, the Impugned mark or any other mark, trade name, domain name, social media handle/account, hashtag containing the word “A G ELESS” together or by itself or with any other word or device and/orany other mark containing the Impugned mark as shown in Exhibit ‘G ’ ‘G i \ ‘G 2\ ‘G3' and/or the word “A G E L E SS” by itself or in combination with any other word or device and/or deceptively similar words written in a stylized manner or in any manner and/or any other deceptively similar mark to the P laintiffs “AgeLess” trademarks or parts and/or features thereof so as to pass off and/or enable others to pass off the Defendant’s services/ businesses as and for the services/ businesses of the Plaintiff or in any manner connected with the Plaintiff;

The Defendant undertakes to this Hon’ble Court to abide by the decree in terms o f prayer Clauses (a), (b), (e)(ii), (iii) of the Plaint and not to actcontrary to or in breach o f any o f the terms o f the same and the present consent terms, directly or indirectly or caused to be breached or violated in any manner.

The Defendant agrees and undertakes that it shall not either by itself or through its Partner/ Director/ Affiliates/ Associates/ subsidiaries/ representatives or anyone under its control cany on business in the name and style of AGELESS or containing the word “AGELESS” and or register a corporate name, domain name, social media handle containing the word “AGELESS” and or any other word similar to the registered trademark “AGELESS” of Plaintiff and or to adopt and/or apply for registration of any mark which is identical with and/ordeceptively similar to the “A G ELESS” trademark.

In view of the above undertaking, the Defendant had applied to the Ministry o f Corporate Affairs (MCA) for change in corporate name by deletion of the word “AGELESS” and the change in corporate name of the Defendant is reflected on the records of the MCA. Annexed hereto and marked as E xhib it B is the necessary application made by the Defendants to the MCA.

In view o f the above, the INTERIM APPLICATION NO. 1214 OF 2022 andCommercial IP. Suit No. 54 o f2022 be disposed off in terms of the consent terms accordingly.

incorporated on 17th September, 2020, and has two Directors, namely my wife, Dr. Jayshree Bhagwat and myself. I say that the Defendant Company is in the business of providing medical, aesthetic and dental services. .

I say that in addition to being Directors of the Defendant Company, Dr. Jayshree Bhagwat and I are registered medical practitioners with over 15 years of experience, specialising in Dentistry and Cosmetology. I say that Dr. Jayshree Bhagwat and I.have been practicing Dentistry and Cosmetology including consultancy and surgery for over 15 years, and have therefore developed a good reputation in the medical profession as well as a list of our own personal clientele. Hereto annexed and marked as “EXHIBIT A-l & A-2” are a copies of the Maharashtra State Dental Council Registration Certificates of Dr. Swapnil Bhagwat & Dr. Jayshree Bhagwat respectively.

At the very outset, without prejudice to what is stated herein, I deny all allegations, contentions, statements and claims made by the Plaintiffs against the Defendant. Company in the present Commercial IP Suit, which are inconsistent or contrary to what has been stated herein. I say that the neither the Defendant Company nor any of its Directors, including myself, have made any attempt to deceive, mislead, confuse or convey false association with the Plaintiff, 1 say that the Defendant Company is in no manner associated with the Plaintiff, and there has been no attempt to cause any illegal gains or loss by trading or riding off the alleged reputation and goodwill of the Plaintiff.

The said Trademark Application was filed with the intention of opening a medical, aesthetic and dental clinic using tire registered corporate name of the Defendant Company.,

That the First Party is a company registered under Indian Companies Act, 2013 and Mrs. I larshna Bijlani is holder P ow er o f Attorney from the Board of Directors. Accordingly by virtue bi this Power of Attorney, Mrs. 1 larshna Bijlani is delegating the following powers to Mr. Kunal Bijlani

A) To make, declare, swear, affirm, sign, verify, execute, register, deliver ail pleadings, applications, affidavits, declarations, petitions, notices, papers, deeds, assurances, instruments and agreements, docum ents and writings, matters and things whatever usual, necessary or expedient for or in furtherance o f all or any o f the purposes mentioned in these presents concerning the Suit proceedings between Ageless Clinic Private lim ited vs. I Am Ageless Private Limited.

B) To appear before the High court and to answer, defend and plead in the captioned matter either solely, jointly with another or others in respect o f the Suit proceedings between Ageless Clinic Private Limited vs. I Am Ageless Private lim ited.

C) To institute, commence, prosecute, enforce, defend, answer, oppose or appeal in all actions and other legal proceedings and demands o f whatever nature pertaining to or relating to any o f the and Intellectual Property with respect to and concerning goods/ services including all actions for infringement o f Trade Marks, Patent, Copyrights, Designs etc., including actions for infringement and pursuant to such property and/or passing o ff actions of any nature whatever, unfair trade practices, consumer protection actions and also if thought tit to compromise refer to Arbitration, abandon, submit to judgment and execution or become non-suited in such action suited in any such action or proceedings as aforesaid to retain, employ and remunerate Advocates, Attorneys. Vakils and to sign and give warrants, Vakalatnamas and other necessary authorities and such retainers and authorities from time to lime and at pleasure to revoke.
