Upon the Application of the Applicant abovenamed by Summons for Direction AND UPON hearing Shri. Vishal Kanade i/b Negandhi, Shah & Himayatullah for Applicant AND UPON reading the Affidavit dated 13^th January, 2009 of V.V. Parameswaran, Group Company Secretary of the business group, to which Applicant Company abovenamed belongs, in support of the Summons for Directors and the Exhibits therein referred to, IT IS ORDERED:

That convening and holding of a meeting of the Equity Shareholders of the Applicant Company to consider and if thought fit to approve the Scheme of Amalgamation between Jasubhai Media Private Limited, the Transferor Company with Jasubhai Interactive Private Limited, the Applicant/Transferee Company is dispensed with, in view of the Consents given thereto by all Equity Shareholders of the Applicant Company which are annexed as Exhibits "F-1" to "F-6" to the Affidavit in Support of the Summons for Directions.

There are no creditors of the Applicant Company as mentioned in paragraph 16 of the Affidavit-in-Support of the Summons for Directions. Hence the question of convening and holding the meeting of creditors does not arise.
