 1. As the Regional Director has consented to

 the proposed Scheme as also the Official Liquidator
 has no objection for accepting the Scheme, and as
 all formalities are complied with and as there is
 no other person objecting to the Scheme, Petition
 is made absolute in terms of prayer clauses (a) to
 (i).

 2. Petitioner to pay cost quantified at
 Rs.5,000/- (Rupees Five Thousand) each to the
 Official Liquidator and the Regional Director
 respectively within four weeks from today.

 3. Filing and issuance of drawn up order is
 dispensed with.

 4. All concerned to act on an ordinary copy
 of this order and the Scheme annexed to the
 Petition, duly authenticated by the Company
 Registrar, High Court, Mumbai.
